Exchange Committee definition

Exchange Committee means, for any Exchange Agreement, the Exchange Committee, as defined in such Exchange Agreement.
Exchange Committee has the meaning given to such term in the Amended and Restated Limited Liability Company Agreement of the General Partner, dated on or about May 19, 2021, together with the Schedules and Exhibits thereto, as the same may be amended, restated, modified, supplemented or replaced from time to time.
Exchange Committee means a committee consisting of the individuals that are from time to time members of the Partner Management Committee as determined pursuant to the applicable Och-Ziff Operating Group Partnership Agreement. The Chairman of the Exchange Committee shall be the same as the Chairman of the Partner Management Committee, and the Chairman of the Exchange Committee shall have the sole and exclusive right and authority to take any action (including, without limitation, the selection of any date on which an Exchange shall be permitted and the consent to any amendment of this Agreement pursuant to this Agreement) on behalf of the Exchange Committee; provided, however, that if and to the extent that at any time no Chairman of the Partner Management Committee exists and, therefore, no Chairman of the Exchange Committee exists, any such action may be taken by a simple majority of the members of the Exchange Committee.

Exchange Committee means a committee consisting of the Chief Executive Officer of the Issuer and the Chief Financial Officer of the Issuer, who shall act together to take any action (including, without limitation, the selection of any date on which an Exchange shall be permitted, the consent to any amendment of this Agreement pursuant to this Agreement and the determinations set forth in Section 2.2(a)) on behalf of the Exchange Committee.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • Legislative Leadership Committee means a committee established, authorized to be established, or designated by the President of the Senate, the Minority Leader of the Senate, the Speaker of the General Assembly, or the Minority Leader of the General Assembly pursuant to N.J.S.A. 19:44A-10.1 for the purpose of receiving contributions and making expenditures.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • Evaluation Committee means a body appointed to perform the evaluation of Offerors’ proposals.

  • Audit Committee or Committee means Committee of Board of Directors of the Company constituted under provisions of Listing agreement and Companies Act, 2013.

  • Election Commission means the Election Commission appointed by the President under article 324;

  • Regulatory Oversight Committee means the committee of the Board constituted in accordance with Rule 204.

  • Subcommittee means a subcommittee designated by the Operating Committee pursuant to the CAT NMS Plan.
