European Agent definition

European Agent means J.X. Xxxxxx Europe Limited, in its capacity as administrative agent in respect of any extension of credit or other financial accommodation in favor of a European Borrower or, solely with respect to the European Tranche, the Company, and in respect of the European portion of the transactions evidenced hereby.

  • Each Borrower and each Guarantor, by signing below, hereby waives and releases Agent, the European Agent, Issuer and each of the Lenders and their respective directors, officers, employees, attorneys, affiliates and subsidiaries from any and all claims, offsets, defenses and counterclaims of which any Borrower or any Guarantor is aware, such waiver and release being with full knowledge and understanding of the circumstances and effect thereof and after having consulted legal counsel with respect thereto.

  • US Agent means a person (as de- fined in section 201(e) of the act (21U.S.C. 321(e))) residing or maintaining a place of business in the United States whom a foreign facility designates as its agent for purposes of this subpart. AU.S. agent cannot be in the form of a mailbox, answering machine or service, or other place where an individual act- ing as the foreign facility’s agent is not physically present.

  • Fronting Bank means each Lender identified as a “Fronting Bank” on Schedule II and any other Lender (in each case, acting directly or through an Affiliate) that delivers an instrument in form and substance satisfactory to the Borrowers and the Administrative Agent whereby such other Lender (or its Affiliate) agrees to act as “Fronting Bank” hereunder and that specifies the maximum aggregate Stated Amount of Letters of Credit that such other Lender (or its Affiliates) will agree to issue hereunder.
