  • Any payment required to be made by the Administrative Agent or X.X. Xxxxxx Europe Limited hereunder shall be deemed to have been made by the time required if the Administrative Agent or X.X. Xxxxxx Europe Limited, as applicable, shall, at or before such time, have taken the necessary steps to make such payment in accordance with the regulations or operating procedures of the clearing or settlement system used by the Administrative Agent or X.X. Xxxxxx Europe Limited, as applicable, to make such payment.

  • Each Lender shall make each Loan (other than any Negotiated Rate Loan) denominated in an Alternative Currency to be made by it hereunder on the proposed date thereof by wire transfer of immediately available funds by 1:00 p.m., London time (or time of such other city designated by X.X. Xxxxxx Europe Limited), to the account of X.X. Xxxxxx Europe Limited most recently designated by it for such purpose by notice to the Lenders.

  • Xxxxxx Europe Limited and any Affiliate of the Issuing Bank that issues any Letter of Credit), Participants (to the extent provided in paragraph (c) of this Section) and, to the extent expressly contemplated hereby, the Related Parties of each of the Administrative Agent, the Issuing Bank and the Lenders) any legal or equitable right, remedy or claim under or by reason of this Agreement.
