Escrow Portion definition

Escrow Portion means for each Claimant, the Base Escrow Amount multiplied by the Claimant’s Applicable Percentage.
Escrow Portion means, with respect to each share of Company Capital Stock that is converted into the right to receive the Per Share Cash Consideration pursuant to Section 2.6(c) and each share of Company Capital Stock underlying each Vested Option that is converted into the right to receive the Option Consideration pursuant to Section 2.7, an amount, if any, equal to the quotient obtained by dividing (A) the aggregate amount to be paid out of the Escrow Account, as and when payable in accordance with Article 7, by (B) the number of Fully Diluted Shares Outstanding.
Escrow Portion has the meaning specified in Section 2.7(b).

  • At each Closing, each Seller will be deemed to have received and deposited its Escrow Portion into the Indemnification Escrow Fund, without any act of the Seller.
