Indemnity Escrow Fund definition
Indemnity Escrow Fund means the Indemnity Escrow Amount deposited with the Escrow Agent, as such sum may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any remaining interest or other amounts earned thereon.
Indemnity Escrow Fund means the escrow fund established pursuant to the Escrow Agreement in respect of obligations of the Management Sellers and the Members pursuant to Section 12.02(a) and Section 12.02(b), or, at the option of Parent, Section 2.14, including any interest accrued thereon. The initial amount of the Indemnity Escrow Fund shall be the Indemnity Escrow Amount.

To the extent the Indemnity Escrow Shares in the Indemnity Escrow Fund have been exhausted or distributed or are being held subject to the resolution of other outstanding claims hereunder, the Buyer Indemnified Parties may recover with respect to such Losses directly from the Sellers subject to the limitations set forth in this Article VIII.
For purposes of this Section 8.5, the amount of indemnifiable Losses recovered by the Buyer Parties with respect to any distribution of Indemnity Escrow Shares to the Buyer Parties from the Indemnity Escrow Fund shall be deemed to equal (x) the Price Per Share multiplied by (y) the number of Indemnity Escrow Shares distributed to the Buyer Parties from the Indemnity Escrow Fund.
