Option Consideration definition

Option Consideration has the meaning set forth in Section 3.3(a).
Option Consideration means, with respect to any share of Company Common Stock issuable under a particular Option, an amount equal to the excess, if any, of (i) the Merger Consideration over (ii) the exercise price payable in respect of such share of Company Common Stock issuable under such Option.
Option Consideration has the meaning set forth in Section 2.2(b)(ii).

  • For the avoidance of doubt, all payments of or with respect to the Put Option Consideration or the Call Option Consideration under this Agreement shall be made without any deduction or withholding.
