Adjustment Escrow Fund definition

Adjustment Escrow Fund means the Adjustment Escrow Amount deposited with the Escrow Agent, as such amount may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any remaining interest or other amounts earned thereon.

Adjustment Escrow Fund shall have the meaning set forth in Section 1.2(b).

Adjustment Escrow Fund has the meaning set forth in Section 1.8.

The Representative and Parent shall execute a joint instruction to the Escrow Agent instructing the Escrow Agent to release to Parent an amount equal to the Closing Adjustment Overpayment from the Adjustment Escrow Fund within five (5) Business Days after the determination of the Final Closing Adjustment Amount.
Parent’s sole source of recovery for any Closing Adjustment Overpayment shall be the Adjustment Escrow Fund, and the aggregate amount that Parent may recover for any Closing Adjustment Overpayment is the lesser of (i) the Closing Adjustment Overpayment or (ii) the Adjustment Escrow Amount.

Adjustment Escrow Fund means, as of any date, the amount of funds then held by the Escrow Agent pursuant to the Escrow Agreement.
