Money on deposit in the Capital Projects Escrow Account held by the Escrow Agent and created hereunder shall be invested at the written direction of the Finance Authority by the Escrow Agent as part of the pool for the benefit of the District as permitted by applicable State law.
The Capital Projects Escrow Account shall not be subject to warrants, drafts or checks drawn by the District or the Finance Authority but shall be disbursed solely as set out in Section 5 of this Escrow Agreement.
The Escrow Agent shall comply with the written instructions provided by the Finance Authority and District jointly directing the distribution of funds from the Capital Projects Escrow Account to the District.
The Finance Authority warrants and the District agrees that the Capital Projects Escrow Account is not part of the Trust Estate defined in and subject to the General Indenture and is not subject to any lien or security interest created by the General Indenture.
Upon the closing date of the Bonds, the District shall submit a Requisition to the Trustee through the Finance Authority directing the Trustee to transfer the Proceeds from the Program Account to the Capital Projects Escrow Account established in accordance with Sections 5.2(e) and 6.2(e) of the General Indenture and maintained by the Escrow Agent in which the District’s funds will be held for the sole benefit and use of the District.
