If Sellers’ Representative believes in good faith that Parent is not entitled to the disbursement from the Indemnity Escrow Account, then it may provide written notice of objection within five (5) days and following such objection notice the Escrow Agent shall only disburse the funds in accordance with the Escrow Agreement.
