Equity Cure Contribution definition

Equity Cure Contribution shall have the meaning assigned to such term in Section 8.03(a).

More Definitions of Equity Cure Contribution

Equity Cure Contribution means cash funds contributed to the Borrower from the issuance of shares in the Borrower’s Capital Stock and/or Subordinated Indebtedness (but excluding the Initial Equity) in the amounts as set out in Clause 23.2(c) (Financial Covenants).
Equity Cure Contribution means a capital contribution by the Sponsor or its Affiliates (other than MMP and its Subsidiaries) permitted by the applicable organizational documents of MMP for purpose of curing a Default or Event of Default which, without such contribution, would occur as a result of a failure to comply with Section 7.09(a) or (b).

Equity Cure Contribution means a contribution of capital to Parent from one or more holders of its Equity Interests or issuance of Equity Interests by Parent to such holder(s) (provided that no Change of Control shall result therefrom), as applicable, the proceeds of which are contributed to Borrower, and are in an amount no more than the amount sufficient, after giving effect to such contribution or issuance (and the applicable recalculation of the applicable financial covenant in accordance with Article IX), to cause the Loan Parties to be in compliance with the financial covenant set forth in Section 9.1 IX for a reporting period.
Equity Cure Contribution means (a) a new cash capital contribution to the common Qualified Equity Interests of the Borrower or (b) the cash proceeds of an issuance of Qualified Equity Interests by the Borrower, in each case, that are received by the Borrower and (i) in the case of a cash capital contribution, such cash capital contribution is made by one or more holders of the Equity Interests in the Borrower from funds that do not constitute dividends from, or advances, loans or investments made by, the Borrower or any of its Restricted Subsidiaries to such holder and (ii) such cash capital contribution or issuance is designated in writing by the Borrower as an “Equity Cure Contribution” to be used for purposes of an equity cure in accordance with the terms of Section 8.04.
