Specified Equity Contribution definition
Specified Equity Contribution means any cash contribution to the common equity of Holdings and/or any purchase or investment in an Equity Interest of Holdings other than Disqualified Equity Interests.

To the extent that the proceeds of any Specified Equity Contribution are used to repay Indebtedness, such Indebtedness shall not be deemed to have been repaid for purposes of calculating the Financial Covenants for the applicable Fiscal Quarter of the Borrower in which the Financial Covenants shall have been increased as a result of such Specified Equity Contribution; provided, however, that such repayment shall be credited in any subsequent Fiscal Quarter.
