Early Purchase Price definition

Early Purchase Price means, with respect to any Unit, the amount equal to the product of the percentage set forth in Schedule 6 to the Participation Agreement and the Equipment Cost for such Unit. Notwithstanding anything to the contrary contained in the Lease or in the Participation Agreement, the Early Purchase Price for a Unit (both before and after any adjustment pursuant to Section 2.6 of the Participation Agreement and after giving effect to any offset pursuant to Section 22.1 of the Lease) will, under any circumstances and in any event, be an amount which, together with any other amounts required to be paid by the Lessee under the Lease in connection with its exercise of the option under Section 22.1 of the Lease, will be at least sufficient to pay in full as of the Early Purchase Date the aggregate unpaid principal of the Equipment Notes issued in respect of such Unit, together with all unpaid interest, Late Payment Premium and Make-Whole Amount, if any, thereon accrued to the date on which such amount is paid in accordance with the terms thereof and all other Secured Amounts then due to the holders of the Equipment Notes in respect of such Unit.

Early Purchase Price means the First Early Purchase Price or the Second Early Purchase Price.

Early Purchase Price means, with respect to any Unit, the amount equal to the product of the percentage set forth in Schedule 7, 7A, 7B or 7C, as the case may be, to the Participation Agreement and the Equipment Cost for such Unit.
