Dynavax Personnel definition

Dynavax Personnel has the meaning set forth in Section 8.4 of the Amended and Restated Research and Development Agreement.

  • Dynavax agrees that, as between Symphony Dynamo and Dynavax, Dynavax is and will continue to be solely responsible for: (i) all matters relating to the payment of compensation and provision of benefits to Dynavax Personnel; and (ii) compliance with all applicable laws, rules and regulations governing Dynavax’s employees.

  • As to Dynavax or any Dynavax Personnel, Symphony Dynamo shall not be responsible for: (a) any federal, state or local income tax withholding; (b) “FICA” contributions; (c) contributions to state disability funds or liability funds or similar withholdings; (d) payment of any overtime wages; (e) workers’ compensation; or (f) compliance with any laws, rules or regulations governing employees.

  • Purchaser Personnel means the Purchasers’, and each Purchaser’s Affiliates’, officers, directors (or their equivalent), employees, agents, and contractors of any kind.

  • Company Personnel means any current or former director, officer or employee of the Company or any Company Subsidiary.

  • Qualified personnel means personnel who meet the statutory or regulatory qualifications for each respective profession currently applicable in this state.

  • Medical personnel means those persons assigned, by a Party to the conflict, exclusively to the medical purposes enumerated under subparagraph (e) or to the administration of medical units or to the operation or administration of medical transports. Such assignments may be either permanent or temporary. The term includes:

  • Supplier Personnel means Supplier’s employees, consultants, agents, independent contractors and Subcontractors.

  • Specified Personnel means the personnel specified in the Contract to provide the Services.

  • Trained personnel means knowledgeable in the following through instruction and/or practice:

  • Third Party Vendor means any person or entity that provides SaaS, third party software and/or related intellectual property. “Work” means any additional work the Customer requests Singtel to perform in relation to the Service.

  • Support personnel means the staffs that support the Key Personnel.

  • Contractor Personnel means and refers to Contractor’s employees and employees of Contractor’s permitted subcontractors or permitted agents assigned by Contractor to perform Services under this Contract.

  • Company's Personnel means the personnel to be provided by OIL or OIL's Contractor (other than the Contractor executing the Contract). The Company representatives of OIL are also included in the Company's personnel.

  • Vendor Personnel means employees, agents, independent contractors, or any other staff or personnel acting on behalf of or at the direction of Vendor or any Vendor Contractor performing or providing Services or Deliverables under this Agreement.

  • Covered Personnel means any Person who is or was an employee, consultant or independent contractor of the Covered Parties, as of such date of the relevant act prohibited by this Section 2(a) or during the one (1) year period preceding such date.

  • Personnel means persons hired by the Consultant or by any Subconsultant as employees and assigned to the performance of the Services or any part thereof;

  • Relevant Personnel means the Data Processor’s employees, agents and personnel and such other personnel of the Data Controller as may be approved in writing by the Data Controller from time to time in respect of access to the Personal Data;

  • Key Personnel means those persons named in the Specification as being key personnel.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.
