DeltaBase Information definition

DeltaBase Information means the *** and related data and/or information, generated or developed by or on behalf of Deltagen from or relating to *** and entered into one or more databases *** or as to which ***, to be provided under a subscription to DeltaBase on a nonexclusive basis to DeltaBase subscribers generally (including Glaxo Wellcome). Notwithstanding the foregoing, DeltaBase Information shall not include data or information generated or developed by or on behalf of Deltagen that is for its or its Affiliates' use, for use on an exclusive basis by one or more specific Third Parties, and not intended by Deltagen for inclusion in DeltaBase.
DeltaBase Information means the information contained in DeltaBase including genetic, phenotypic and related data and/or information generated or developed by or on behalf of Deltagen from or relating to Knockout Mice, [ * ] and [ * ], including as set out in Exhibit D, and entered into DeltaBase licensed and provided to Merck on a non-exclusive basis hereunder, but does not include data or information contained in Third Party software (whether or not listed on Exhibit B) or in other software and/or databases that may be utilized by Merck or Merck Affiliates in connection with DeltaBase. The Parties hereby acknowledge that (i) the DeltaBase Information is provided under a subscription to DeltaBase on a non-exclusive basis to DeltaBase Subscribers generally, and (ii) Deltagen may have developed or generated other genetic, phenotypic and related data and/or information for its own use, or for use by Third Parties, which is not included in DeltaBase.
DeltaBase Information means the information included within DeltaBase, including, without limitation the following: [*] and related data and/or information, generated or developed by or on behalf of Deltagen from or relating to Knockout [*] and entered into one or more databases and [*] or as to which Deltagen has rights or licenses, to be provided under a subscription to DeltaBase on a nonexclusive basis to DeltaBase subscribers generally (including Lexicon).

Examples of DeltaBase Information in a sentence

  • Notwithstanding anything to the contrary herein, as between Deltagen and Glaxo Wellcome, Deltagen shall retain all right, title and interest in and to the DeltaBase, including without limitation, the DeltaBase Information and all worldwide intellectual property rights therein and thereto.

  • Deltagen shall send all DeltaBase Information to Glaxo Wellcome on a reasonably suitable medium (being either Magneto Optical Disk, Tape or CD ROM) under such means agreed to by the parties.

  • During the Knockout Mice Material Access Term for each Phenotype Set, Deltagen shall additionally provide to Lexicon all updates or supplements to the DeltaBase Information with respect to Phenotype Sets previously delivered to Lexicon hereunder that are intended by Deltagen for inclusion in DeltaBase and provided under a subscription to DeltaBase on a nonexclusive basis to all DeltaBase subscribers generally (including Lexicon).

  • Notwithstanding anything to the contrary herein, as between Deltagen and Lexicon, Deltagen shall retain all right, title and interest in and to the DeltaBase, including without limitation, the DeltaBase Information and all worldwide intellectual property rights therein and thereto.

  • The DeltaBase Information and the Phenotype Sets shall conform to the DeltaBase Deliverables set out in Exhibit D, and shall accurately represent the results of the tests performed by Deltagen to generate and develop the data and information contained therein.

  • Deltagen, at its sole discretion, also may from time to time release on a nonexclusive basis to its DeltaBase subscribers (including Lexicon), as part of the general DeltaBase subscription, such other updates of the DeltaBase Information as Deltagen elects to release.

  • In the event that DeltaBase fails to perform according to specifications due to the fault of Deltagen (but excluding any failure of the DeltaBase Information to conform to the Content Criteria), Glaxo Wellcome shall promptly notify the Deltagen contact person, providing a reasonably detailed description of the problem and Deltagen shall promptly acknowledge receipt of the report of the problem to the Glaxo Wellcome contact person.

  • In the event that DeltaBase fails to perform according to specifications due to the fault of Deltagen (but excluding any failure of the DeltaBase Information to conform to the DeltaBase Deliverables), Lexicon shall promptly notify the Deltagen contact person, providing a reasonably detailed description of the problem and Deltagen shall promptly acknowledge receipt of the report of the problem to the Lexicon contact person.

  • During the Subscription Term, Deltagen shall deliver to Lexicon on a [*] basis, Data Sets as part of the DeltaBase Information.

  • During each of the *** of the Access Term, Deltagen shall deliver to Glaxo Wellcome *** Data Sets as part of the DeltaBase Information.

Related to DeltaBase Information

  • Data Tape Information The information provided by the Responsible Parties as of the Cut-off Date to the Depositor or the Sponsor setting forth the following information with respect to each Mortgage Loan: (1) the Mortgagor's name; (2) as to each Mortgage Loan, the Scheduled Principal Balance as of the Cut-off Date; (3) the Mortgage Rate Cap; (4) the Index; (5) a code indicating whether the Mortgaged Property is owner occupied; (6) the type of Mortgaged Property; (7) the first date on which the Scheduled Payment was due on the Mortgage Loan and, if such date is not consistent with the Due Date currently in effect, such Due Date; (8) the "paid through date" based on payments received from the related Mortgagor; (9) the original principal amount of the Mortgage Loan; (10) with respect to Adjustable Rate Mortgage Loans, the Maximum Mortgage Rate; (11) the type of Mortgage Loan (i.e., Fixed Rate or Adjustable Rate Mortgage Loan, First Lien Mortgage Loan or Second Lien Mortgage Loan); (12) a code indicating the purpose of the loan (i.e., purchase, rate and term refinance, equity take out refinance); (13) a code indicating the documentation style (i.e., full, asset verification, income verification and no documentation); (14) the credit risk score (FICO score); (15) the loan credit grade classification (as described in the underwriting guidelines); (16) with respect to each Adjustable Rate Mortgage Loan, the Minimum Mortgage Rate; (17) the Mortgage Rate at origination; (18) with respect to each Adjustable Rate Mortgage Loan, the first Adjustment Date immediately following the Cut-off Date; (19) the value of the Mortgaged Property; (20) a code indicating the type of Prepayment Charges applicable to such Mortgage Loan (including any prepayment penalty term), if any; (21) with respect to each Adjustable Rate Mortgage Loan, the Periodic Mortgage Rate Cap; (22) the applicable Responsible Party with respect to such Mortgage Loan; (23) with respect to each First Lien Mortgage Loan, the LTV at origination, and with respect to each Second Lien Mortgage Loan, the CLTV at origination; and (24) if such Mortgage Loan is covered by a primary mortgage insurance policy or a lender-paid primary mortgage insurance policy, the primary mortgage insurance rate. With respect to the Mortgage Loans in the aggregate, the Data Tape Information shall set forth the following information, as of the Cut-off Date: (1) the number of Mortgage Loans; (2) the current aggregate outstanding principal balance of the Mortgage Loans; (3) the weighted average Mortgage Rate of the Mortgage Loans; and (4) the weighted average maturity of the Mortgage Loans.

  • Service Information means information concerning the Services provided by the Contractor to the Authority in accordance with Clause 32.1 for inclusion in the Authority's catalogue and/or any Beneficiary's catalogue from time to time;

  • Line Information Data Base (LIDB) means a transaction-oriented database system that functions as a centralized repository for data storage and retrieval. LIDB is accessible through CCS networks. LIDB contains records associated with End User line numbers and special billing numbers. LIDB accepts queries from other network elements and provides return result, return error, and return reject responses as appropriate. Examples of information that Account Owners might store in LIDB and in their Line Records are: ABS Validation Data, Originating Line Number Screening (OLNS) data, ZIP Code data, and Calling Name Information.

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • Program Information is defined in Section 13.8(a)(i).

  • Remittance Information means the information that must specify the Billing Account Numbers (BANs) paid; invoices paid and the amount to be applied to each BAN and invoice.

  • User Information means User Compliance Information and User Financial Information.

  • Disclosure Information As defined in the Pooling and Servicing Agreement.

  • Insurance Information means the insurance information required by the Access Provider pursuant to Clause 5(b)(xi) hereof.

  • Contact Information means information to enable an individual at a place of business to be contacted and includes the name, position name or title, business telephone number, business address, business email or business fax number of the individual;

  • Tangible Information means information that is contained in written, electronic or other tangible forms.

  • Client Information means any data, information, software or other materials that you provide to Red Hat under the Agreement.

  • Installation Information for a User Product means any methods, procedures, authorization keys, or other information required to install and execute modified versions of a covered work in that User Product from a modified version of its Corresponding Source. The information must suffice to ensure that the continued functioning of the modified object code is in no case prevented or interfered with solely because modification has been made.

  • Due Diligence Information means any information supplied to the Supplier by or on behalf of the Customer prior to the Call Off Commencement Date;

  • Business Contact Information means the names, mailing addresses, email addresses, and phone numbers of a party’s personnel, officers and directors and, with respect to Client, such information regarding Client’s vendors and customers that Accenture may have access to in maintaining the parties’ business relationship.
