Company Business Intellectual Property definition

Company Business Intellectual Property means collectively, the Company Owned Intellectual Property and the Company Licensed Intellectual Property.
Company Business Intellectual Property means any and all Intellectual Property used in or necessary to conduct the business of Company or its Subsidiaries, in the manner currently conducted, including, without limitation, the design, development, manufacture, testing, use, clinical evaluation, marketing, distribution import, sale licensing, provision, support and/or other exploitation of Company Products.
Company Business Intellectual Property means all Intellectual Property owned, licensed or used by the Company as set forth in Section 4.15(a) of the Disclosure Schedule.

  • The Company-Owned Intellectual Property, along with the Intellectual Property rights of Company under the Intellectual Property Contracts, constitute all the Company Business Intellectual Property.

  • To the Knowledge of the Company, no person has infringed or misappropriated, or is infringing or misappropriating, any Company-Owned Intellectual Property, and no person has infringed or misappropriated, or is infringing or misappropriating, any Company Business Intellectual Property in a manner that would adversely affect Company in the United States.

  • Seller represents and warrants that Section 5.15(a) of the Disclosure Schedule sets forth a true and complete list of all Shared IT Contracts as well as a corresponding true and complete list of all Software that constitutes material Company Business Intellectual Property and is licensed or otherwise made available under such Shared IT Contract.

  • No person other than the Company and its Subsidiaries has ownership rights or License rights to improvements made by or for the Company or any of its Subsidiaries in any Company Business Intellectual Property.

Company Business Intellectual Property means all marks and service marks, rights in designs, trade or business names and copyrights (whether or not any of these is registered and including applications for registration or renewal of any such thing) and rights under licences and consents in relation to any such thing and all rights or forms of protection of a similar nature or having equivalent or similar effect to any of these which may subsist anywhere in the world which are used or enjoyed in connection with the Business;
Company Business Intellectual Property means any and all Intellectual Property used in or necessary to conduct the business of Company in the United States, in the manner currently conducted and as it is currently contemplated to be conducted, including, without limitation, the design, development, manufacture, use, import, sale licensing or other exploitation of Company Products in the United States.
Company Business Intellectual Property is defined in Section 3.13(a).

  • Business Intellectual Property means the Owned Intellectual Property and the Licensed Intellectual Property.
