Cloud Term definition

Cloud Term means the duration of a Cloud Program Sales Order.
Cloud Term means, collectively, the Initial Cloud Term and all Renewal Cloud Terms for the applicable Cloud Services.

Examples of Cloud Term in a sentence

  • The Coverage Period, Cloud Term, or Subscription Term, (if applicable) shall survive termination if the Master Agreement is terminated for convenience.

  • The Data Privacy and Security Policy is subject to change at eGain’s discretion; however, such changes by eGain will not result in a material reduction in the level of protection provided for Customer’s Personal Data provided to eGain during the applicable Cloud Term.

  • All fees for Cloud Services are based on Cloud Services subscriptions purchased and not actual usage, and quantities purchased cannot be decreased during the relevant Cloud Term.

  • To the extent any optional renewals are identified in the Quote, the Customer must issue a PO or a notice to proceed to extend the Cloud Term and at the prices set forth in the Quote not less than sixty (60) days prior to the end of the Cloud Term.

  • If Customer is current on its payment of fees for Cloud Services, then during the applicable Cloud Term, Customer shall be entitled to receive eGain Updates and Upgrades, made available by eGain at eGain’s sole discretion.

  • During the Cloud Term, upon Customer’s written request, not more than once per year, eGain shall provide to Customer written validation in the form of a combination of internal audits, SSAE 16 Service Organization Control ("SOC") 2 reports and/or other independent, third-party audits as may be obtained by eGain from recognized experts in the information security industry (which should be done to NIST 800-53 and ISO 2700x standards).

  • For clarity, if Customer has purchased any Cloud Services, Customer must also separately purchase Cloud Support for the term corresponding to the applicable Cloud Term for the purchased Cloud Services.

  • Invoices for subsequent years included within the Cloud Term as specified in the Quote (as may be adjusted pursuant to Section 8.2 above) will be issued prior to the Cloud Anniversary.

  • Unless agreed otherwise in the applicable Order, fees for Cloud Services and Cloud Support for each Renewal Cloud Term will be invoiced annually in advance prior to the start of such Renewal Cloud Term.

  • On occasion, the valuation expert may need a legal opinion to ascertain the identity and nature of the property being valued.

Related to Cloud Term

  • Fixed Term shall have the meaning given such term in Section 2.3.

  • Initial Term has the meaning set forth in Section 7.1.

  • Service & Term XOOM Energy Ohio, LLC (“XOOM” or “Company”) agrees to act as your exclusive natural gas supplier and will provide competitive retail natural gas service to you. The Term of this Agreement will begin on the next available meter read date after processing of the request by XOOM and your gas utility, and will continue for the Contract Term as set forth in the accompanying Contract Summary, which is incorporated into this Agreement. Acceptance into the Program:These terms and conditions are subject to your acceptance into the program by both XOOM and your local utility. You will be promptly notified if you are not accepted into the program. Switching fees may apply to you under your local utility’s tariff if you are accepted into the program by both XOOM and your local utility.

  • Initial Period means the period from (and including) the Issue Date to (but excluding) the First Call Date;

  • Original Term means the period from the Commencement Date until the end of the fiscal year of Lessee in effect at such Commencement Date.

  • Extended Term shall have the meaning given such term in Section 2.4.

  • Non-Compete Term means in the case of termination for any reason, the period from the Effective Date to the date ending 2 years following the date of termination.

  • Renewal Period “Buyer” and “Default” have the same meanings respectively as they have in the Water Agreement.

  • Contract Term means period of performance set forth in the paragraph entitled “Term” contained in Exhibit E.

  • Agreement Term has the meaning set forth in Section 11.1.

  • Term of Employment means the period specified in Section 2.

  • Service Period has the meaning given to it in Framework Schedule 4 (Template Order Form and Template Call Off Terms) as refined by a Contracting Body in a Call Off Agreement between that Contracting Body and the Supplier;

  • Employment Period has the meaning set forth in Section 2.01.

  • Renewal Term has the meaning set forth in Section 2.

  • main phase employment and support allowance means an employment and support allowance where the calculation of the amount payable in respect of the applicant includes a component under section 2(1)(b) or 4(2)(b) of the Welfare Reform Act 2007 except in Part 1 of Schedule 1;
