Non-Compete Term definition

Non-Compete Term means in the case of termination for any reason, the period from the Effective Date to the date ending 2 years following the date of termination.

Non-Compete Term means the period from the date of Executive’s employment to the date ending: (A) on the date of termination if terminated by the Company for Cause, or (B) in all other cases of termination, at the end of a period of consecutive months following the date of termination equivalent to 50% of the number of months for which the Executive is entitled to receive severance benefits assuming (if applicable) Executive will give notice of his intent to comply with SECTIONS 2.3(c) and SECTION 2.4 pursuant to SECTION 3.2.

Non-Compete Term shall have the meaning set forth in Section 9(a).

Examples of Non-Compete Term in a sentence

• The parties acknowledge that if Employee violates any of the protective covenants in this Article III and the Companies bring legal action for injunctive, damages or other relief hereunder, the Companies shall, as a result of the time involved in obtaining the relief, be deprived of the benefit of the full Non-Compete Term of these protective covenants.

• The term of the restrictive covenants in this ARTICLE III (the "Non-Compete Term") shall commence on the date hereof and shall terminate two years after the date of termination of Employee, except that the Non-Compete Term shall terminate on such earlier date as determined by the Board of Directors in its sole and absolute discretion if (i) Employee is terminated by the Company other than for Cause and (ii) such termination DOES NOT occur within 30 days after a Change in Control.

• At the Company's option, the Severance Payment shall be paid either (a) in equal monthly installments during the "Remaining Non-Compete Term", or (b) in one lump sum payable within 30 days following the termination date.

• I shall not, during my employment with the Company or the Post-Termination Non-Compete Term, make to any other person or party any statement (whether oral, written, electronic, anonymous, on the internet, or otherwise), which directly or indirectly impugns the quality or integrity of the Company or its Affiliates’ business or employment practices, operations, or services, or any other disparaging or derogatory remarks about the Company or its Affiliates.

• If the Company starts but ceases making the Monthly Non-Compete Payments, then, notwithstanding any contrary provision in this Agreement, the Post-Termination Non-Compete Term for purpose of subparagraph 15(a) shall expire on the last day of the month in which the final Monthly Non-Compete Payment was made by the Company.

More Definitions of Non-Compete Term

Non-Compete Term means the period during which Consultant is engaged hereunder and the one-year period thereafter. During the Non-Compete Term:

Non-Compete Term means the period during which Employee is employed hereunder and (x) in the event Employee's employment is terminated by the Company for any reason other than "cause" or by Employee for "good reason," the one-year period following such termination, (y) in the event Employee's employment is terminated by the Company for "cause" or by Employee for any reason other than "good reason," the two-year period following such termination. During the Non-Compete Term:

Non-Compete Term means the period during which Employee is employed hereunder and the one-year period thereafter. During the Non-Compete Term:

Non-Compete Term means (i) the Non-COC Period if the Executive is terminated in a manner that gives rise to severance benefits under Section 1, (ii) the COC Period if the Executive is terminated in a manner that gives rise to severance benefits under Section 2 and (iii) 24 months following the termination of Executive’s employment with the Company if the Executive’s employment has terminated in any other manner.

Non-Compete Term means the period from the Effective Date to the date ending: (A) on the date of termination if Executive’s employment with the Company is terminated by the Company for Cause, or (B) in the case of termination for any reason other than that provided for in clause (A) above, twelve (12) months following the date of termination; provided that, the NON-COMPETE TERM shall end six (6) months after the date of termination if the Executive forfeits the second half of the severance payment and other benefits to which he would otherwise be entitled to hereunder due to the failure of such Executive to give notice of his intent to comply with SECTIONS 2.3(c) and SECTION 2.4 pursuant to SECTION 3.2.

Non-Compete Term means the period from the date of this Agreement until the earliest of (i) the date of Executive's termination of employment by the Company without Cause prior to a Change of Control, (ii) the date eighteen months following any other termination of Executive's employment prior to a Change of Control or any termination of Executive's employment upon or following a Change of Control and prior to or upon the first anniversary of such Change of Control, (iii) the date twelve months following any termination of Executive's employment after the first anniversary of a Change of Control but prior to or upon the second anniversary of such Change of Control, and (iv) the date of any termination of Executive's employment following or upon the expiration of this Agreement.
