This certifies that Cede & Co. is the registered owner of a Percentage Interest (obtained by dividing the denomination of this Certificate by the aggregate Certificate Principal Balance of the Class A-3C Certificates as of the Issue Date) in that certain beneficial ownership interest evidenced by all the Class A-3C Certificates in the REMIC created pursuant to a Pooling and Servicing Agreement, dated as specified above (the “Agreement”), among Citigroup Mortgage Loan Trust Inc.
This certifies that Cede & Co. is the registered owner of a Percentage Interest (obtained by dividing the denomination of this Certificate by the aggregate Certificate Principal Balance of the Class A-3C Certificates as of the Issue Date) in that certain beneficial ownership interest evidenced by all the Class A-3C Certificates in a REMIC created pursuant to a Pooling and Servicing Agreement, dated as specified above (the "Agreement"), among Park Place Securities, Inc.
The related share of principal allocable to the Group III Certificates will be distributed to (a) the Class A-3A, Class A-3B and Class A-3C Certificates, in the aggregate and (b) the Class A-3D Certificates, pro rata, based on (a) the aggregate certificate principal balance of the Class A-3A, Class A-3B and Class A-3C Certificates and (b) the certificate principal balance of the Class A-3D Certificates, respectively.

The Original Principal Amount set forth above is equal to the product of (i) the Percentage Interest represented by this Certificate and (ii) the aggregate Original Principal Amount of the Class A-3C Certificates on September 9, 2004 which aggregate amount was $93,500,000.
The pro rata share of principal allocable to the Class A-3A, Class A-3B and Class A-3C Certificates will be distributed as follows: first to the Class A-3A Certificates, until its certificate principal balance is reduced to zero, second to the Class A-3B Certificates, until its certificate principal balance is reduced to zero, and third, to the Class A-3C Certificates, until its certificate principal balance is reduced to zero.
The Certificate Interest Rate for the Class A-3C Certificates for each Distribution Date will be the least of (i) One-Month LIBOR as of the related LIBOR Determination Date plus the Class A-3C Certificate Margin, (ii) the Group 3 Maximum Rate Cap and (iii) the Group 3 Cap.
