Change in Control Severance Period definition

Change in Control Severance Period means the period of twelve (12) months commencing on the Termination Date.
Change in Control Severance Period means the period commencing ninety (90) days prior to the execution of any definitive purchase and sale, merger or other acquisition agreement resulting in a Change in Control through the first anniversary following the closing of such Change in Control, or, in the case of any other type of Change in Control, the period of one (1) year beginning on the date of the occurrence of such Change in Control through the first anniversary thereof.
Change in Control Severance Period has the meaning ascribed to such term in Section 4.2.

Examples of Change in Control Severance Period in a sentence

  • In consideration of Executive’s execution and non-revocation of the Release by the Release Deadline Date, in a form provided by the Company and in accordance with Article 5, the Company shall pay Executive a severance payment equal to (i) the sum of Executive’s Monthly Base Salary and Pro-Rata Bonus multiplied by (ii) the number of months in the Change in Control Severance Period, less applicable withholdings.

  • In consideration of Executive’s timely execution and non-revocation of a full release of all claims, in a form provided by the Company and in accordance with Article 5, the Company shall pay Executive a severance payment equal to (i) the sum of Executive’s Monthly Base Salary and Pro-Rata Bonus multiplied by (ii) the number of months in the Change in Control Severance Period, less applicable withholdings.

  • The severance payments and benefits provided under this Paragraph 4.4 shall be in lieu of any other severance benefits for which the Executive might otherwise be eligible by reason of the termination of his employment during the Change in Control Severance Period.

  • If Executive and Executive’s dependents continue coverage pursuant to COBRA following the conclusion of the Change in Control Severance Period, Executive will be responsible for the entire payment of such premiums required under COBRA for the duration of the COBRA period.

More Definitions of Change in Control Severance Period

Change in Control Severance Period means the period of twelve (12) months commencing on the Termination Date. The severance payment shall be payable (except as set forth in Article 5) in accordance with the Company’s standard payroll procedure commencing on the first regularly-scheduled payroll date occurring on or after the Release Deadline Date.
Change in Control Severance Period means (i) thirty (30) months for the Chief Executive Officer of TGH and (ii) twenty-four (24) months for all other Participants.
Change in Control Severance Period means the period of time designated in Section 6(f) herein.
Change in Control Severance Period means, in the case of a Participant who experiences a Change in Control Qualifying Termination, the 18-month period following the Separation Date.
