Change in Control Termination definition

Change in Control Termination means that while this Agreement is in effect:
Change in Control Termination means and includes the termination of Employee’s employment with Choice at any time during the twelve (12) month period after a Change in Control if such termination is (i) by Choice for any reason other than Cause, (ii) by Employee for Good Reason.
Change in Control Termination means an “Involuntary Termination Without Cause” or “Resignation for Good Reason,” either of which occurs within three (3) months prior to or upon or within twelve (12) months following the closing of a Change in Control or Dissolution Event, provided that any such termination is a “separation from service” within the meaning of Treasury Regulation Section 1.409A-1(h). Death and disability shall not be deemed Change in Control Terminations.

Examples of Change in Control Termination in a sentence

  • The provisions of Section 4.2 apply only if (i) the Executive experiences a Change in Control Termination; (ii) the Executive is not offered an Equivalent Position with a Successor, as further described in Section 4.4; and (iii) the Executive and/or their authorized personal representative timely executes and does not revoke a Release, as described in Section 8, to the extent a Release is not waived by the Company in writing.

  • To the extent applicable, the Change in Control Termination shall be considered a “qualifying event” as such term is defined in Title I, Part 6 of the Employee Retirement Income Security Act of 1974 (“COBRA”), and any continued coverage by the Executive or the Executive’s spouse or eligible dependents under Luxfer’s group health and welfare plans after the Executive’s Separation from Service shall be considered COBRA coverage.

  • In the event the Executive experiences a Change in Control Termination, and subject to the conditions set forth in Section 4.1, the Company, shall pay the Executive the amounts, and provide the Executive the benefits, set forth in this Section 4.2 (collectively referred to as the “CIC Severance”).

  • Executive Severance Plan (the “Plan”), your severance entitlements shall be determined in accordance with the provisions of the Plan pertaining to a Change in Control Termination and you will not be entitled to the Severance Benefits as defined in clause 28.1 herein.

  • Upon a Change in Control Termination Event, the Option shall continue to be exercisable until the Expiration Date, subject to paragraph 4(f) hereof.


More Definitions of Change in Control Termination

Change in Control Termination means an “Involuntary Termination Without Cause” or “Resignation for Good Reason,” either of which occurs on, or within three (3) months prior to, or within twelve (12) months following, the effective date of a Change in Control, provided that any such termination is a “separation from service” within the meaning of Treasury Regulation Section 1.409A-1(h). Death and disability shall not be deemed Change in Control Terminations.
Change in Control Termination means the occurrence of both: (A) a Change in Control and (B) during the period commencing 12 months prior to the first occurrence of the Change in Control and ending 24 months after such Change in Control, the Company or one of its Subsidiaries involuntarily terminates the Optionee’s employment or Service without Cause or the Optionee terminates employment for Good Reason.
Change in Control Termination means an Involuntary Termination that occurs within the Change in Control Period. For such purposes, if the events giving rise to an employee’s right to resign for Good Reason arise within the Change in Control Period, and the employee’s resignation occurs not later than thirty (30) days after the expiration of the Cure Period (as defined below), such termination shall be a Change in Control Termination.
Change in Control Termination means Employee’s employment is terminated by the Company (or a successor thereto) without Cause, or by Employee following: (i) a significant diminution in Employee’s responsibilities, authority or duties; (ii) a material reduction in Employee’s Base Salary; or (iii) relocation of Employee’s principal place of employment by fifty (50) miles or more, all as determined by the Committee in its sole discretion.
Change in Control Termination means either the involuntary termination of the Executive’s employment by the Company (other than a Termination for Cause) or the voluntary resignation by the Executive for Good Reason within 24 months following a Change-in-Control.
Change in Control Termination means the termination of an Employee’s Employment following a Change in Control of the Company (I) by the Company and its subsidiaries not for Cause, (II) by the Employee for “Good Reason” (as defined below), or (III) by reason of the Employee’s death or Disability (as defined in Section 2(d)).
Change in Control Termination means a participant’s Involuntary Termination or Good Reason Resignation that occurs during the period beginning 60 days prior to the date of a Change in Control and ending two years after the date of such Change in Control.
