Business of Parent definition

Business of Parent means the business of Parent, as conducted presently and during the twelve (12) months prior to the date of this Agreement; and references to “business of Parent”, “the Parent’s business” or phrases of similar import shall be deemed to refer to the business of Parent, as conducted presently and during the twelve (12) months prior to the date of this Agreement.
Business of Parent means the worldwide business of Parent and its Subsidiaries involving the research, development, manufacture, marketing, distribution, sale to customers and service and support of products for use in medical diagnostic imaging modalities which consist of radiography, computed tomography, magnetic resonance imaging, ultrasound, nuclear medicine, cardiology, direct radiography, computed radiography, positron emission tomography imaging, digital Radiography + Fluoroscopy, digital subtraction angiography, digital image transmission, digital image archive and digital image display. Such products include, but are not limited to any of the following for use in such modalities: - printers, media and associated supplies for the hard copy output of digital images; - silver halide coated films, light emitting fluorescent screens, cassettes and accessories for the capture and display of x-ray images; - specialty films for cinematic recording, duplication, subtraction, subtraction printing, video recording or other similar applications; - processing chemicals and processing equipment used in conjunction with silver halide coated films; and - electronic systems for the capture, manipulation, display, communication and archive of digital images and related information.
Business of Parent has the meaning set forth in Section 3.1(a).

Examples of Business of Parent in a sentence

  • Each Buyer, on behalf of itself and its Subsidiaries and Affiliates, hereby grants to Parent and its Subsidiaries a perpetual, irrevocable, sublicensable, and royalty-free license to all Intellectual Property included in the Transferred Assets and used by Parent and its Subsidiaries (other than Seller) as of Closing for use, modification and other exploitation in the Ordinary Course of Business of Parent and its Subsidiaries.

  • In all material respects, Parent’s Systems are in sufficiently good working condition to perform all information technology operations and include sufficient licensed capacity (whether in terms of authorized sites, units, users, seats or otherwise) for all material software, in each case as necessary for the conduct of the Business of Parent.

  • Buyer shall, in the Ordinary Course of Business of Parent, use its commercially reasonable efforts to xxxx and collect from each Basic Subscriber that is potentially a Qualified Customer any amounts due and payable in respect of services delivered to such Basic Subscriber prior to the Closing.

  • Except as set forth in Schedule 5.09(b) of the Parent Disclosure Schedule, Parent is the sole and exclusive owner of all right, title and interest in and to the material Parent Intellectual Property, and to the Knowledge of Parent, has the right to use all other material Intellectual Property, including all Parent Exclusively Licensed IP, used in the conduct of the Business of Parent, in each case, free and clear of Liens other than Permitted Liens.

  • Section 7.1. Conduct of Business of Parent Pending the Effective Time.

  • To the Knowledge of Parent, and in connection with the Business of Parent, no director, officer, employee or agent of Parent has made any untrue statement of material fact or fraudulent statement to the FDA or any other Governmental Authority; or failed to disclose a material fact required to be disclosed to the FDA or any other Governmental Authority.

  • Each of Parent and Merger Sub is now, and, in the case of Parent, for the past three (3) years and, in the case of Merger Sub, since its inception, has been, in compliance in all respects with all Laws applicable to it and the Business of Parent, except for such non-compliance that has not and would not reasonably be expected to result in Liabilities that are material to the Parent and Merger Sub, taken as a whole.

  • The conduct of the Business of Parent, and the products, processes and services of Parent, have not infringed, misappropriated or otherwise violated, and do not infringe, misappropriate or otherwise violate the Intellectual Property of any Person in any material respect.

  • Equity-based awards with an aggregate value of $16,606,000 were granted effective as of January 1, 2019, to be converted into a number of restricted stock unit awards under the Parent Equity Incentive Plans and a number of LTIP Units (as defined in the Parent Operating Partnership Agreement) based in each case on a valuation of the units, consistent with the Ordinary Course of Business of Parent.

  • Attached as Schedule 7.8 is a list of all Real Property owned, leased or operated by, and which is material to the operation of the Business of, Parent, Holdings or its Subsidiaries.

Related to Business of Parent

  • Business of the Company means the following areas of its business which are selected below, which Employee acknowledges are areas of the Company’s business in which Employee has responsibilities: (check as applicable)

  • Parent Business shall have the meaning set forth in the Separation and Distribution Agreement.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Business organization means an individual, partnership, association, joint stock company, trust, corporation or other legal business entity or successor thereof.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Retained Subsidiaries means all of the direct and indirect Subsidiaries of Seller other than the Purchased Subsidiaries.

  • Acquisition Subsidiary has the meaning specified in Section 7.14.

  • Cannabis business means any business activity involving cannabis, including but not limited to cultivating, transporting, distributing, manufacturing, compounding, converting, processing, preparing, storing, packaging, delivering, testing, dispensing, retailing and wholesaling of cannabis, of cannabis products or of ancillary products and accessories, whether or not carried on for gain or profit.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Parent Subsidiary means any Subsidiary of Parent.

  • Company Business means the business of the Company and its Subsidiaries as presently conducted.

  • Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

  • Business operations means engaging in commerce in any form, including by acquiring, developing, maintaining, owning, selling, possessing, leasing, or operating equipment, facilities, personnel, products, services, personal property, real property, or any other apparatus of business or commerce.

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Parent organization means the entity named in Item I. of the Policy Declarations.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Excluded Businesses means Business types which are excluded from application for an Inter-Community Business Licence and includes those Business types referred to in Schedule “A”.

  • Ohio Business Gateway means the online computer network system, created under section 125.30 of the Ohio Revised Code, that allows persons to electronically file business reply forms with state agencies and includes any successor electronic filing and payment system.

  • Acquired Business means the entity or assets acquired by the Borrower or another Loan Party in an Acquisition, whether before or after the date hereof.

  • Intermediate Parent means any Subsidiary of Holdings and of which the Borrower is a subsidiary.

  • Holdings as defined in the preamble hereto.

  • Significant business transaction means any business transaction or series of transactions that, during any one fiscal year, exceeds the lesser of $25,000 or 5 percent of the total operating expense of a provider.

  • Company IT Assets means all Software, systems, serves, computers, hardware, firmware, middleware, networks, data communications lines, routers, hubs, switches and all other information technology equipment, and all associated documentation owned by or licensed, pursuant to a valid and enforceable license agreements, to the Company and its Subsidiaries.

  • Excluded Business has the meaning set forth in Section 6.10.
