Arranger Group definition

Arranger Group means us, each of our holding companies and subsidiaries and each subsidiary of each of our holding companies (as each such term is defined in the Companies Act 2006) and each of our or their directors, officers and employees (including any sales and trading teams) provided that when used in this letter in respect of an Arranger it applies severally only in respect of that Arranger, each of that Arranger’s holding companies and subsidiaries, each subsidiary of each of its holding companies and each director, officer and employee (including any sales and trading teams) of that Arranger or any of the foregoing and not, for the avoidance of doubt, those of another Arranger.
Arranger Group means us, each of our holding companies and subsidiaries and each subsidiary of each of our holding companies and each of our or their directors, officers and employees (including any sales and trading teams) provided that when used in this letter in respect of an Arranger it applies severally only in respect of that Arranger, each of that Arranger's holding companies and subsidiaries, each subsidiary of each of its holding companies and each director, officer and employee (including any sales and trading teams) of that Arranger or any of the foregoing and not, for the avoidance of doubt, those of another Arranger.
Arranger Group means the Arrangers and their respective Subsidiaries and Holding Companies (each as defined in the Companies Act 1985) together with each such person's affiliates. In consideration of the disclosure of Information by you or any representative of the Arranger Group as follows:

Examples of Arranger Group in a sentence

  • No member of an Arranger Group has any obligation to use, or furnish to you or any of your affiliates or any other person, any information obtained from other persons or any details of such other person in connection with the Merger or its financing and the services being provided to them.

  • Furthermore, no member of an Arranger Group will be required to account to you or any member of the Group for any payment, remuneration, profit or benefit it obtains as a result of acting in the ways referred to above.

  • This shall not, however, affect any obligations that any member of an Arranger Group has as Agent in respect of the Finance Documents.

  • Neither the relationship described in this letter nor the services provided by any member of an Arranger Group to you on any other matter will give rise to any fiduciary, advisory, equitable or contractual duties (including, without limitation, any duty of confidence) which could prevent or hinder any member of an Arranger Group providing similar services to other customers, or otherwise acting on behalf of other customers or for their own account.

  • You acknowledge that members of an Arranger Group may act in more than one capacity in relation to the transactions contemplated by the Commitment Documents and may have conflicting interests in respect of such different capacities.

  • In the ordinary course of its trading, brokerage and financing activities or otherwise, a member of an Arranger Group may trade positions or otherwise effect transactions, for its own account or the account of customers, in equity, debt, loans or other securities of you or the Target Group or of any other company from time to time and exercise voting rights as they see fit.

  • You shall consult with your own advisors concerning such matters and shall be responsible for making your own independent investigation and appraisal of the transactions contemplated by this Commitment Letter and the Fee Letter, and no Commitment Party nor any other member of the Lead Arranger Group shall have responsibility or liability to you with respect thereto.

  • Arranger Group shall use confidential information gained from any Obligor by virtue of the Facility or its relationships with any Obligor in connection with their performance of services for other persons.

  • You accept that permanent or ad hoc arrangements/information barriers may be used between and within divisions of the Initial Lenders, the Lead Arrangers or other members of the Lead Arranger Group for this purpose and that locating directors, officers or employees in separate workplaces is not necessary for such purpose.

  • The Borrower also acknowledges that no member of an Arranger Group has any obligation to use or furnish to any Obligor information obtained from other persons for their benefit.

Arranger Group means collectively the Mandated Lead Arrangers, the Joint Lead Arrangers, the Arrangers, the Senior Co-Arrangers and the Tranche D Co-Arrangers;

Related to Arranger Group

  • Arranger means Banc of America Securities LLC, in its capacity as sole lead arranger and sole book manager.

  • Arrangers as defined in the preamble hereto.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Joint Lead Arranger as defined in the preamble to this Agreement.

  • Lead Arranger as defined in the preamble hereto.

  • Joint Lead Arrangers shall have the meaning assigned to such term in the introductory paragraph of this Agreement.

  • Lead Arrangers means Xxxxxxx Xxxxx Bank USA, Barclays Bank PLC, Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., KKR Capital Markets LLC, Citigroup Global Markets Inc. and UBS Securities LLC.

  • Joint Lead Arrangers and Bookrunners means Credit Suisse Securities (USA) LLC, Citigroup Global Markets, Inc., Deutsche Bank Securities Inc., Xxxxxxx Xxxxx Credit Partners L.P., HSBC Securities (USA) Inc., Xxxxxx Brothers Inc. and Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Lender Group Representatives has the meaning specified therefor in Section 17.9 of the Agreement.

  • Agent’s Group has the meaning specified in Section 8.02(b).

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • Joint Bookrunner means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated, X.X. Xxxxxx Securities LLC and RBC Capital Markets(3), each in its respective capacity as a bookrunner under this Agreement, and “Joint Bookrunners” means all of them, collectively.

  • Sole Lead Arranger means SunTrust Xxxxxxxx Xxxxxxxx, Inc., in its capacity as sole lead arranger in connection with this Agreement.

  • Arranger Fee Letter means that certain Arranger Fee Letter related to this Agreement, entered into by the Company and dated November 23, 2015.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • Joint Bookrunners means Xxxxxxx Xxxxx Bank USA, Barclays Bank PLC, Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., KKR Capital Markets LLC, Citigroup Global Markets Inc. and UBS Securities LLC.

  • Arranger Fee means a fee charged by the Arranger in relation to each Series of ETP Securities, as modified by the Arranger from time to time, as set out in the Base Prospectus of the Issuer.

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Bookrunner shall have the meaning provided in the first paragraph of this Agreement, and shall include any successor thereto.

  • Promoter Group means an immediate relative of the Promoter (i.e. spouse of that person, or any parent, brother, sister or child of the person or of the spouse); persons whose shareholding is aggregated for the purpose of disclosing in the offer document “shareholding of the promoter group”.

  • Co-Arrangers has the meaning specified in the recital of parties to this Agreement.

  • Sponsor Group means the Sponsors and the Sponsor Related Parties.

  • Bookrunners as defined in the preamble hereto.

  • MLPFS means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Mandated Lead Arranger means HSH Nordbank AG, acting in such capacity through its office at Xxxxxxx-Xxxxxxxxx-Xxxxx 00, X-00000 Xxxxxxx, Xxxxxxx, or any successor;

  • Purchaser Group means, at any time, the group of companies comprised of the Purchasers, the Guarantor and the Guarantor’s subsidiaries at that time.
