Active Target definition

Active Target means a High Interest Target, or Collaboration Target, as applicable, with respect to which, at the time in question, one or more of the following is true:
Active Target means any target that is [***] a Collaboration Derived Product (for which RBNC or its Affiliate has an Active Program) as such Collaboration Derived Product’s [***].
Active Target means a company or a division of a company which either the Company, the Target or any of their respective Subsidiaries or Affiliates has spent a significant amount of time investigating as a possible investment or acquisition candidate.

More Definitions of Active Target

Active Target means an Optimization Target for which ICOS has provided reasonable written notice to Array as described in Section 3.1 of this Agreement, that such Optimization Target shall be included in the Optimization Program and for which an Optimization Plan shall be produced. For the purpose of this definition reasonable notice shall be thirty (30) days unless the party's have agreed to a shorter period of notice either by written agreement or by the Parties performance.
Active Target means the Targets listed on the Active Target List.
Active Target shall have the meaning set forth in Section 2.2 below.

Related to Active Target

  • KPI Target means the acceptable performance level for a KPI as set out in each KPI;

  • Bonus Target means the annual bonus that the Executive would have received in a fiscal year under the AIP Plan and/or the EIC Plan, if the target goals had been achieved.

  • Soft Target means a target that will suffer minimum damage and cause minimum damage to the subject vehicle in the event of a collision.

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume. “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Relative Total Shareholder Return or “Relative TSR” means the Company’s TSR compared to the Peer Companies TSR on a relative basis. The Company and the Peer Companies from highest to lowest according to their respective TSRs will determine Relative TSR. After this ranking, the percentile performance of the Company relative to the Peer Companies will be determined using the Percentrank formula in Microsoft Excel.

  • Positive Test Result means a finding of the presence of drugs, alcohol, or their metabolites in the sample tested in levels at or above the threshold detection levels contained in the standards of one of the programs listed in Minn. Stat. § 181.953, Subd. 1.

  • Development Milestone Event has the meaning set forth in Section 7.1.

  • Nomination Criteria means the criteria made up of the Over-Riding Nomination Criteria andthe Specific Nomination Factors, and is also referred to as “this Criteria”.

  • Acquisition Target means any Person becoming a Subsidiary of the Company after the date hereof; any Person that is merged into or consolidated with the Company or any Subsidiary of the Company after the date hereof; or any Person with respect to which all or a substantial part of that Person’s assets are acquired by the Company or any Subsidiary of the Company after the date hereof.

  • Independent candidate means any candidate who claims not to be affiliated with a political party, and whose name has been certified on the office-type ballot at a general or special election through the filing of a statement of candidacy and nominating petition, as prescribed in section 3513.257 of the Revised Code.

  • Annual Net Sales means, with respect to any Calendar Year, the aggregate amount of the Net Sales for such Calendar Year.
