EBITDA Target definition

EBITDA Target means the Company's projected earnings before interest, taxes, one-time transition expenses, non-cash compensation expense charges, depreciation and amortization, as contained in the Company's budget for the Applicable Period and which is approved by the Board (without reference to any adjustments or revision, upwards or downwards, to such projected earnings which are subsequently approved by the Board as part of any subsequent revision to such budget), and (ii) the term "Financial Results" shall mean the Company's EBITDA calculated by reference to the Company's financial statements for the Applicable Period as filed with the Securities and Exchange Commission (the "SEC").
EBITDA Target for any given Applicable Year shall be as set forth in Appendix B of this Agreement, subject to the provisions of Section 3.3.
EBITDA Target and “Cumulative EBITDA Target” for a given period shall be as set forth in Exhibit A of this Agreement, subject to the provisions of Section 4.6.

More Definitions of EBITDA Target

EBITDA Target means with respect to each Plan Year, the amount set forth in the following table opposite such Plan Year:
EBITDA Target means the target EBITDA for the Company and its subsidiaries determined for a fiscal year based on management's proposal and as approved by the Committee.
EBITDA Target means, with respect to any fiscal year of the Company set forth on Annex I to this Agreement, the applicable amount set forth opposite such fiscal year on Annex I.
EBITDA Target for a given period commencing on or after April 1, 2009, shall be as set forth in Appendix A of this Agreement, subject to the provisions of Section 6.6 hereof.
EBITDA Target means (i) for the first Performance Period, $920,000, (ii) for the second Performance Period, $1,058,000, and (iii) for the third Performance Period, $1,216,700.
EBITDA Target for the year ended shall mean the EBITDA of the Company for the applicable year as shown in the pro forma financial chart presented to the Board of Directors of Employer at the December 6, 2000 meeting of the Board of Directors of Employer.
EBITDA Target means the Company's EBITDA for Fiscal Year 2007, 2008, 2009 or 2010, as applicable.
