一般条項. 15.1 準拠法の選択 本契約は、(a)デベロッパーがヨーロッパ、アフリカまたは中東の国に所在する場合はアイルランドの法律、(b)デベロッパーがアジア、オセアニアまたはアジア太平洋地域の国に所 在する場合はシンガポールの法律、(c)デベロッパーが南北アメリカ(カリブ海を含む)または 本第 15.1 条において特定されていないその他の国に所在する場合はカリフォルニア州の法律 (およびアメリカ合衆国連邦法が優先する場合はその限りにおいてアメリカ合衆国連邦法)に準拠し、これらの法律に従って解釈されるものとする。当該法域の法律は、これらに含まれる法の抵触に関する原則部分は考慮せずに適用されるものとする。国際物品売買契約に関する国連条約および米国統一コンピュータ情報取引法は本契約に適用されない(かつ本契約の準拠法から除外される)ものとする。また、各当事者は、本契約に起因または関連する請求、訴訟または紛争については専らカリフォルニア州マリン郡上位裁判所またはサンフランシスコのカリフォルニア北部地区連邦地方裁判所で提起すること(および両当事者はこれらの裁判所の専属的管轄権に服すること)、ただし、デベロッパーが(a)ヨーロッパ、アフリカまたは中東の国に所在する場合、当該請求または紛争については専らアイルランド、ダブリンの裁判所で提起すること(および両 当事者はこれらの裁判所の専属的管轄権に服すること)、(b)アジア、オセアニアまたはアジア 太平洋地域の国に所在する場合は、当該請求または紛争については専らシンガポールの裁判所 で提起すること(および両当事者はこれらの裁判所の専属的管轄権に服すること)について同 意する。前述の規定は、オートデスクが知的財産権の侵害があったとされる国で知的財産権侵 害訴訟を提起することを妨げない。オートデスクは、デベロッパーの居住国の管轄裁判所また は行政審判所で差止命令による救済手続の申立てをする権利を明示的に留保する。 15.2 譲渡の禁止 デベロッパーは、本基本契約に従って許諾を受けたいずれの権利もライセンスも、譲渡も再使用許諾も行ってはならない(株式若しくは資産の買い取り、合併、支配の変更、法 の適用またはその他の方法のいずれによるかを問わない。)オートデスクは、本基本契約にお ける自身の権利義務を譲渡又は委任することができる。

一般条項. The Board shall elect the following officers from among the Delegates by Simple Majority Vote: President, Vice President, Treasurer and Secretary. The Board shall elect three individuals from among the Delegates by Simple Majority Vote to complete the Executive Council. The FIDO Alliance may also have such other officers with such titles and duties as the Board may determine from time to time. An elected officer or other member of the Executive Council must be an employee of a Board Member of the FIDO Alliance. All officers shall be elected for an annual term ending on December 31st of the following year. The officers may serve multiple terms and/or successive terms if duly elected. Any restrictions resulting therefrom or from FOSS Licenses with respect to the distribution of unchanged FOSS on the duties of the Contractor arising from the Main Agreement or this document shall require express prior consent in writing. Such agreement must expressly refer to this document and the Main Agreement.

  • Schedule of Performance Consultant shall commence the services pursuant to this Agreement upon receipt of a written notice to proceed and shall perform all services within the time period(s) established in the “Schedule of Performance” attached hereto as Exhibit “D” and incorporated herein by this reference. When requested by the Consultant, extensions to the time period(s) specified in the Schedule of Performance may be approved in writing by the Contract Officer but not exceeding one hundred eighty (180) days cumulatively.
