Treasurer; Assistant Treasurer. The Treasurer shall be the chief financial and accounting officer of the Trust, and shall, subject to the provisions of the Declaration of Trust and to any arrangement made by the Trustees with a custodian, investment adviser, sub-adviser or manager, or transfer, shareholder servicing or similar agent, be in charge of the valuable papers, books of account and accounting records of the Trust, and shall have such other duties and powers as may be designated from time to time by the Trustees or by the President. Any Assistant Treasurer shall have such duties and powers as may be designated from time to time by the Trustees or the President.

Any Assistant Treasurer shall have the duties and powers specified in these By-Laws and may perform such duties of the Treasurer as the Treasurer or the Trustees may assign, and, in the absence of the Treasurer, an Assistant Treasurer may perform all of the duties of the Treasurer.

The treasurer will: (1) have custody of all money and securities of the Company; (2) keep regular books of account: (3) disburse the funds of the Company in payment of the Company’s debts as requested by the chief executive officer, president or the Board of Managers; (4) render to the chief executive officer, president and the Board of Managers, from time to time, as requested an account of all such transactions and of the financial condition of the Company; and (5) perform such other duties as may be prescribed by the Board of Managers. The assistant treasurer or treasurers will perform the duties of the treasurer in the event of the treasurer’s absence or disability and such other duties as the treasurer, president, chief executive officer or the Board of Managers may determine.

Treasurer; Assistant Treasurer. The Treasurer shall have the responsibility for maintaining the financial records of the Company and shall have custody of all monies and securities of the Company. The Treasurer shall make such disbursements of the funds of the Company as are authorized and shall render from time to time an account of all such transactions and of the financial condition of the Company. The Treasurer shall also perform such other duties as the Members may from time to time prescribe. The Members may also elect an Assistant Treasurer, if deemed necessary or appropriate, who shall have such powers and duties of the Treasurer, as determined by the Members.
Treasurer; Assistant Treasurer. The Treasurer shall be the principal financial and accounting officer of the Fund. He or she shall deliver all funds and securities of the Fund which may come into his or her hands to such company as the Trustees shall employ as Custodian in accordance with the Agreement and applicable provisions of law. He or she shall make annual reports regarding the business and condition of the Fund, which reports shall be preserved in Fund records, and he or she shall furnish such other reports regarding the business and condition of the Fund as the Trustees may from time to time require. The Treasurer shall perform such additional duties as the Trustees or the Chief Executive Officer may from time to time designate. Any Assistant Treasurer shall have such duties and powers as may be designated from time to time by the Trustees or the President or the Treasurer.

Unless the Trustees otherwise provide by vote or otherwise, the Treasurer shall be the chief financial officer, principal financial officer and principal accounting officer of the Trust, and shall, subject to the provisions of the Declaration of Trust and to any arrangement made by the Trustees with a custodian, investment adviser, subadviser or manager, or transfer, shareholder servicing or similar agent, be in charge of the valuable papers, books of account and accounting records of the Trust, and shall have such other duties and powers as may be designated from time to time by the Trustees or by the principal executive officer of the Trust. Assistant Treasurer shall have such duties and powers as may be designated from time to time by the Trustees or the President.
