Time Devoted to Duties. The Executive shall devote all of his normal business time and efforts to the business of the Company, its subsidiaries and its affiliates, the amount of such time to be sufficient, in the reasonable judgment of the Board of Directors, to permit him diligently and faithfully to serve and endeavor to further their interests to the best of his ability.

Executive shall devote substantially all of his non-personal time and efforts to the business of the Company, its subsidiaries and affiliates, the amount of such time to be sufficient to permit him to diligently and faithfully to serve and endeavor to further the Company's interests to the best of his ability. Executive shall not, during the Employment Period, (i) accept any other employment, or (ii) engage, directly or indirectly, in any other business activity (whether or not pursued for pecuniary gain) that is or may be competitive with, or that might place him in a competing position to that of the Company or its subsidiaries or affiliates, provided, however, that an investment of less than one percent (1%) in a public company which competes with the Company but with which Executive has no other involvement will not violate the terms hereof. The Executive hereby represents that his employment hereunder and compliance by him of the terms and conditions of this Agreement will not conflict with or result in the breach of any agreement by which he may be bound.

The Company acknowledges that the Executive is currently serving as a member of the Board of Directors of Xxxxxx Corporation and certain educational and non-profit organizations and agrees that the Executive will be permitted to continue to occupy such positions during the Employment Period. The Executive will seek the consent of the Board of Directors prior to agreeing to serve on any other corporate board of directors.

Time Devoted to Duties. A lay teacher shall devote such time to the performance of his/her duties under this Agreement as is necessary and reasonable. Such time shall include actual classroom teaching time, adequate preparation for classroom activities, normal supervisory service, and such supplemental services as are agreed between the lay teacher and the Principal in accordance with Section 20 Supplemental Positions hereof.

Subject to the foregoing, it is expressly agreed and understood that the Executive may participate in various civic and philanthropic activities, may serve on boards of directors and committees of not-for-profit organizations of the Executive's choice, and, consistent with the policies of the Company, may serve as a member of one or more corporate boards of directors (unless the Company's Board of Directors concludes that such service would be inappropriate or not in the best interests of the Company).
Time Devoted to Duties. Each Manager shall devote only such time to the affairs of the Company as such Manager may, in such Manager's sole discretion, deem necessary or advisable for the proper discharge of such Manager's duties as a Manager hereunder. 12.2
Time Devoted to Duties. The Executive shall devote all of his normal business time and efforts to the business of the Company, its subsidiaries and its affiliates, the amount of such time to be sufficient, in the reasonable judgment of the Board of Directors, to permit him diligently and faithfully to serve and endeavor to further their interests to the best of his ability. It is understood and agreed, however, that the Executive is expected to reduce his time committed to the Company to 50% of his normal business time (approximately 120 working days per year, excluding holidays and vacation days) commencing January 1, 2000.
Time Devoted to Duties. Not including travel time to the Company’s facilities should Executive determine that her presence there is necessary, during the Employment Term Executive shall devote up to four days per month to performing the duties described in Section 1.1.
