Time Devoted to Company. The Managers shall devote such time to Company business as they deem necessary to manage and supervise the business and affairs of the Company in an efficient manner; but nothing in this Agreement shall preclude the employment of any agent, third party or Affiliate to manage or provide other services with respect to the Company’s assets or business as the Managers shall determine.

Time Devoted to Company. Consultant agrees to devote the time necessary to perform the Services under this Agreement. Consultant certifies that Consultant has no outstanding agreement or obligation that is in conflict with any of the provisions of this Agreement, or that would preclude Consultant from complying with the provisions hereof. Consultant is allowed to assume duties with other companies so long as they are not in direct competition with the Company and the confidentiality of the Company is protected.
Time Devoted to Company. The Managers will be under a fiduciary duty to conduct the affairs of the Company in the best interests of the Company and of the Members, including the safekeeping and use of all Company Property and the use thereof for the exclusive benefit of the Company, and shall devote reasonable time to that end.

Expenditures of reasonable amounts of time for charitable, educational, or professional activities and personal business shall not be deemed a breach hereof, provided that those activities are not competitive with the business of the Company and do not interfere with Employee's performance hereunder.
