The Chief Operating Officer. The Chief Operating Officer of the Corporation shall have, subject to the supervision, direction and control of the Board, the Chairman of the Board, the Chief Executive Officer and the President, general and active management of the business of the Corporation and shall see that all orders and resolutions of the Board are carried into effect. The Chief Operating Officer shall have such other powers and perform such duties as may from time be assigned to him or her by the Board, the Chairman of the Board, the Chief Executive Officer or the President.

The Chief Operating Officer. The Chief Operating Officer shall be the chief operating officer of the Corporation and shall perform, in general, all duties incident to the office of Chief Operating Officer and shall be responsible for the operations of the Corporation, including manufacturing, engineering, marketing, distribution, sales, labor relations and administrative responsibilities and such other duties as may be specified in these By-Laws or as may be assigned to him from time to time by (subject to Section 4.06) the President and Chief Executive Officer (or, if the Chairman is then acting as chief executive officer of the Corporation, by the Chairman).   • Vice President In the absence of the President or in the event of the President’s inability to act, the Vice President, if any (or in the event there be more than one Vice President, the Vice Presidents in the order designated by the Directors, or in the absence of any designation, then in the order of their election), shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President.
