Termination Transition Plan. At the request of the Purchasers, the Supplier will develop, provide to the Purchasers and maintain in effect throughout the Term a termination transition plan acceptable to the Purchasers for each Facility which will demonstrate how the Supplier, if this Contract is terminated or the Term expires, will ensure a positive seamless transition from the service model established by the Supplier in place at the date of such termination to the service model of another service provider. The Supplier will implement such termination transition plan at its expense forthwith upon request of the Purchasers.

Termination Transition Plan. SAIC and ViaSat will work together to develop a transition plan (the "Termination Transition Plan") setting forth the respective tasks to be accomplished by each Party in connection with the Termination Transition and a schedule pursuant to which such tasks are to be completed, priced and charged.

If the Optionee's employment terminates by reason of Retirement, the Option shall (A) become fully and immediately vested and exercisable and (B) remain exercisable for three years from the date of such Retirement (but not beyond the Term of the Option).
