Subcontractors and Assignment. Contractor shall neither subcontract any of the work, nor assign any rights acquired hereunder, without obtaining prior written approval from the City. The City, by this Agreement, incurs no liability to third persons for payment of any compensation provided herein to the Contractor.

Client shall not assign or otherwise transfer any of its rights, or delegate or otherwise transfer any of its obligations, under this Agreement, in each case whether voluntarily, involuntarily, by operation of law or otherwise, without ARC’s prior written consent, which shall not be unreasonably withheld. For purposes of the preceding sentence, and without limiting its generality, any merger, consolidation or reorganization involving Client (regardless of whether Client is a surviving or disappearing entity) will be deemed to be a transfer of rights or obligations under this Agreement for which ARC’s prior written consent is required. No delegation or other transfer will relieve Client of any of its obligations under this Agreement. Any purported assignment, delegation or transfer in violation of this provision is void. This Agreement is binding upon and inures to the benefit of the parties hereto and their respective successors and assigns.

Subcontractors and Assignment. This Agreement may be freely assigned by the Owner at any time. The Operator may not assign this Agreement or delegate, assign, or subcontract all, or any part of its duties under this Agreement without the express written consent of the Owner, and the Operator shall not delegate, assign, or subcontract all, or any part, of its duties to an Affiliate without the express written consent of the Owner. For the purposes of this Section 13.4, a merger or a sale or transfer of fifty percent (50%) or more of the issued and outstanding stock of the Operator shall be deemed an assignment requiring the written consent of the Owner.
