Issued and Outstanding Stock definition

Issued and Outstanding Stock means the issued and outstanding shares of Purchaser’s common stock as of the Acquisition Date, plus any options, warrants or other rights to acquire common stock of Purchaser, or any stock or instrument convertible into common stock of Purchaser, at a price per common share of less than $1.00, subject to any applicable adjustments. “Know-how” will have the meaning ascribed to such term in Section 2(d).
