SOLE AND ENTIRE MEMORANDUM OF UNDERSTANDING. Section A. It is the intent of the parties hereto that the provisions of this Memorandum of Understanding shall supersede all prior agreements and Memoranda of Understanding, or contrary salary and/or Personnel Resolutions or Rules and Regulations of Agency, oral or written, expressed or implied, between the parties and shall govern their entire relationship and shall be the sole source of any and all rights which may be asserted hereunder. This Memorandum of Understanding is not intended to conflict with federal or state law.

This MOU is not intended to conflict with Federal or State law.

This Agreement is not intended to conflict with federal or state law.
SOLE AND ENTIRE MEMORANDUM OF UNDERSTANDING. By entering into this agreement, the parties have each fully complied with the obligations to meet and confer under the Xxxxxx-Xxxxxx-Xxxxx Act. It is the intent of the parties hereto that the provisions of this MOU shall supersede all prior agreements and memorandums of agreement or memorandums of understanding, or contrary salary and/or personnel resolutions, oral or written, expressed or implied, between the parties, and shall govern the entire relationship and shall be the sole source of any and all rights which may be asserted hereunder. This MOU is not intended to conflict with federal or state law. This agreement, the City's personnel rules, and the resolution of adoption of this MOU set forth the wages, hours and all other terms and conditions of employment for the employees subject to this MOU. All other terms and conditions of employment, whether written or unwritten, are hereby abrogated and declared null and void. The parties acknowledge that if the Association membership ratifies this MOU, the City Council would adopt this agreement by resolution and that said resolution would remain in full force and effect during the life of this MOU.

It is the intent of all the parties hereto that the provisions of this MOU shall, except as herein provided, supersede all prior agreements and memorandums of understanding or contrary salary and/or personnel resolutions, oral or written, express or implied, between the parties and shall govern the entire relationship and shall be the sole source of any and all rights which may be asserted hereunder except as provided otherwise herein. This MOU is not intended to conflict with federal or state law. The parties acknowledge that the City Council will adopt this Agreement by resolution which will be known as the Personnel Resolution and to the extent that the Personnel Resolution is not specifically inconsistent with this Agreement, said Resolution shall remain in full force and effect during the life of this MOU.
SOLE AND ENTIRE MEMORANDUM OF UNDERSTANDING. It is the intent of the parties hereto that the provisions of this Memorandum of Understanding, which has been negotiated in conjunction with the ESTA Personnel Rules (dated August, 2010), shall supersede all prior agreements, oral or written, expressed or implied, between the parties. Unless specifically modified by this MOU or the Personnel Rules (dated August, 2010), all policies, procedures, resolutions, and ordinances adopted by ESTA relating to all matters of wages, benefits, hours and other terms and conditions of employment shall be incorporated herein by this reference into this Agreement and shall remain in full force and effect during the term of this Agreement. This Memorandum of Understanding is not intended to conflict with Federal or State law. The parties acknowledge that ESTA’s Board of Directors will adopt this Agreement by Resolution and that said Resolution shall remain in full force and effect during the life of this Memorandum of Understanding.
