Service with the Company. During the Term, Employee shall (i) serve as the Company’s Chief Executive Officer and Chief Medical Officer and shall report directly to the Board of Directors of the Company (the “Board”), (ii) have such responsibilities, duties and authorities, and render such services for the Company, that Employee has or renders for the Company as of the Effective Date, and (iii) have such other responsibilities, duties and authorities, and render such other services for the Company, that are consistent with Employee’s position as Chief Executive Officer and Chief Medical Officer, as the Board may from time to time reasonably direct.
Service with the Company. During the Term of this Agreement, Executive agrees to perform the duties of the President and Chief Executive Officer of the Company as set forth in the Organizational Documents and such other duties as the Board may from time to time prescribe that are consistent with the duties of a Chief Executive Officer of a company of the size and nature of the Company. In addition, during the Term, Executive shall, if elected by the stockholders, serve without any additional compensation on the Company's Board. The Company agrees to nominate Executive for annual election as a member of its Board, so long as he continues to hold the position of Chief Executive Officer.
Service with the Company. During the Term of this Agreement, Executive agrees to perform such executive employment duties as the Board or the President shall reasonably assign to him from time to time.
Service with the Company. Executive shall work exclusively for the Company and shall have all the customary powers and duties associated with his position as set forth in Section 1 above. Executive shall devote his full business time and effort to the performance of his duties for the Company, which he shall perform faithfully and to the best of his ability. Executive shall be subject to the Company’s policies, procedures and approval practices, as generally in effect from time-to-time.
Service with the Company. During the term of this Agreement, the Executive agrees to perform such reasonable duties and on such basis as shall be assigned to him from time to time by the CEO; such duties, however, to be commensurate with the Executive's position as Senior Vice President of Sales and Marketing of the Company. In particular, and without limitation, such duties shall include, within the guidelines set by the CEO, setting up long-range Sales and Marketing plans, guidance of day-to-day Sales and Marketing operations of the Company, preparing operating budgets for presentation to the CEO, and implementation of Sales and Marketing plans as approved by the CEO.
Service with the Company. During the term of this Agreement, Executive shall perform such reasonable employment duties, commensurate with Executive’s position, as the Board of Directors, shall, from time to time, assign to Executive;
Service with the Company. During the term of this Agreement, the Executive agrees to perform such reasonable duties and on such basis as shall be assigned to him from time to time by the Board of Directors (the "Board of Directors"); such duties, however, to be commensurate with the Executive's position as Chairman, President and Chief Executive Officer of the Company. In particular, and without limitation, such duties shall include:
Service with the Company. During the Term, the Executive agrees to provide his full business time and attention to the business of Parent and the Company (Parent and the Company being hereinafter jointly referred to as the “Employer”). In addition, the Executive may be asked from time to time to serve as a director or officer of one or more of Parent’s subsidiary entities, without further compensation.
Service with the Company. During the Term of this Agreement, Executive agrees to perform such executive employment duties as the Board shall reasonably assign to him from time to time. In addition, during the period of Executive’s employment by the Company, Executive shall serve without any additional compensation on the Company’s Board upon nomination by the Board and the vote of the shareholders.
Service with the Company. Except as may otherwise be provided in Section 6, the RSUs granted hereunder are granted on the condition that the Participant remains in the Continuous Service of the Company or its Affiliates from the Date of Grant through (and including) the vesting date, as set forth in Section 2 (referred to herein as the “Period of Restriction”). This grant of RSUs shall not confer any right to the Participant (or any other Participant) to be granted RSUs or other Stock Awards in the future under the Plan.
