Scope of the Exit Plan. 13.1. The Exit Plan will describe the procedures and processes that will be followed to enable the effective handover of responsibility for the provision of the Services from the Provider to the Purchaser and/or a Replacement Provider as a viable business entity in the event of termination or expiry of this Agreement. This Appendix sets out the points the Purchaser would expect to see covered in the Exit Plan in addition to the requirements already specified elsewhere in this Agreement.
13.2. The Exit Plan shall describe in detail how the transfer will be managed. The Exit Plan will identify and address:
13.2.1. the activities necessary to support any Replacement Provider in carrying out due diligence;
13.2.2. the management structure to be put in place and the Exit Assistance to be provided by the Provider during the Exit Period;
13.2.3. the support to be given by the Provider to the Purchaser and/or Replacement Provider during the preparation for the transition of Services from the Provider to the Purchaser and/or Replacement Provider;
13.2.4. the provision of the existing Services as required, the activities necessary and the assistance to be provided by the Provider prior to and after the Services Transfer Date, so as to ensure the smooth transfer of the Services to the Purchaser and/or a Replacement Provider;
13.2.5. the provision of access by the Purchaser and, where applicable, the Replacement Provider to information and Sub-Contractor personnel; and
13.2.6. any critical issues in respect of the provision of Exit Assistance.
13.2.7. The deliverables in relation to the Exit Plan shall include:
13.2.8. a fully detailed project plan;
13.2.9. proposed reporting arrangements;
13.2.10. Purchaser resources required and obligations to be undertaken to enact the Exit Plan; and
13.2.11. details of the on-going review process for the Exit Plan.
