Sale Location. The Locomotive subject to this Agreement is sold and purchased on an as is, where is basis, FOB the Western Pacific Railroad Museum, Portola, CA. The Seller agrees to provide all parts acquired with and currently attached to the Locomotive. Xxxxx acknowledges it has examined, or will examine within 6 months, the Locomotive and attached parts and expressly represents that it is satisfied with the condition of the Locomotive. Buyer further warrants it has performed all required due diligence in determining the condition of the Locomotive. Seller further agrees to store locomotive free of charge and protected for a period of up to 18 months for Buyer. It is further agreed that Buyer, if it so chooses, will be able to scrap and/or part out locomotive at its current location at no further charge. Seller will logistically provide reasonable help in doing so, such as spotting flat cars so they can be loaded near locomotive at no charges, providing electrical power, water for crew needs and a location for work. Buyer agrees to provide appropriate insurances for its own employees / workers or ensure that contract workers provide appropriate insurances. Scope of assistance to work will be covered in a separate agreement between Buyer and Seller.

It is further agreed that Buyer, if it so chooses, will be able to scrap and/or part out locomotive at its current location at no further charge.   • Data Location 1.1. The CONTRACTOR shall not store or transfer non-public COUNTY data outside of the United States. This includes backup data and Disaster Recovery locations. Contractor may terminate this Contract if, in its discretion, the environmental conditions in which any unit of Equipment is placed are not suitable for satisfactory performance, or if the new location is out of Contractor's ordinary operating area.

  • Work Location While employed by the Company hereunder, the Executive shall perform his duties (when not traveling or engaged elsewhere in the performance of his duties) at the offices of the Company in Bermuda. The Executive shall travel to such places on the business of the Company in such manner and on such occasions as the Company may from time to time reasonably require.

  • Closing Location The Closing shall be held at the location designated by the Corporation or, if no such designation is made, at the office of Seller's Attorney.

  • Business Locations Set forth on Schedule 6.20(a) is a list of all Real Properties located in the United States as of the Closing Date. Set forth on Schedule 6.20(b) is a list of all locations where any tangible personal property of a Consolidated Party is located as of the Closing Date. Set forth on Schedule 6.20(c) is the chief executive office, jurisdiction of incorporation or formation and principal place of business of each Consolidated Party as of the Closing Date.
