Return on Termination. Executive will return all Emerald Solutions' Data and third party data on termination of this Agreement.

Notwithstanding anything herein to the contrary, if Business Associate determines, in its reasonable discretion, the return or destruction of such PHI is not feasible, Business Associate shall extend the protections of this BAA to the remaining information and limit further Uses and Disclosures of PHI to those purposes that make the return or destruction of PHI infeasible.

At termination of this Agreement, Xxxxxxxx shall return or destroy all Protected Health Information (“PHI”), as defined by HIPAA, that Kootenai still maintains in any form and retain no copies thereof. Kootenai shall provide CDA271 with written certification, signed by Kootenai verifying that Xxxxxxxx has fully complied with this Section. In the event that Kootenai determines that retuning or destroying the PHI is infeasible, Kootenai shall provide to CDA271 written notification of the conditions that make return or destruction infeasible, and Kootenai shall extend the protections specified herein to such PHI and limit further uses and disclosures of such PHI to those purposes that make the return or destruction infeasible, for so long as Kootenai maintains such PHI.

Return on Termination. Upon termination of this Agreement, each party shall use its commercially reasonable efforts to return to the other party all Confidential Information acquired by it from such other party and all copies thereof.
