Processing and Handling. Each party shall use commercially reasonable care in processing and handling all data supplied by, and in performing the services for the other.

Processing and Handling. In the event that production of hydrocarbons is obtained within the Exclusion Area as a result of the New Well or after Seller earns an assignment as provided for in Section 17.05 below, such production shall be handled and processed by Purchaser under the terms of the Production Handling Agreement (hereinafter called the "PHA") attached as Exhibit "E." Immediately after execution of this Agreement, Purchaser and Seller will prepare for execution and sign the PHA. If, for any reason, Purchaser and Seller do not sign the PHA, then Exhibit "E" in its present form shall apply for production from the Exclusion Area.
Processing and Handling i) The Parties may have access to, (including in digital form), or communicate (including any digital communication) Personal Information relating to Data Subjects, and both Parties undertake to – (1) treat the Personal Information as strictly confidential; (2) not disclose the Personal Information to any third party, unless such disclosure is authorised by a Data Subject in writing; (3) ensure that any Data Holder has signed a legally binding confidentiality undertaking document for non-disclosure; (4) adhere to section 19 of POPIA, by taking appropriate, technical and organisational measures to ensure the integrity of the Personal Information in its possession or under its control and to ensure that it is secured and protected against unauthorised or unlawful Processing, alteration, disclosure or access and loss, damage to or unauthorised destruction of Personal Information.

  • DELIVERY, STORAGE, AND HANDLING The Contractor shall be responsible to inspect all components on delivery to ensure that no damage occurred during shipping or handling for furnish and installation projects. For equipment only purchases, the ordering entity shall be responsible to inspect all components on delivery. Materials must be stored in original undamaged packaging in such a manner to ensure proper ventilation and drainage, and to protect against damage, weather, vandalism, and theft until ready for installation.

  • Sub-Processing 10.1 In respect of any Processing of Personal Data performed by a third party on behalf of a Party, that Party shall: (a) carry out adequate due diligence on such third party to ensure that it is capable of providing the level of protection for the Personal Data as is required by the contract, and provide evidence of such due diligence to the other Party where reasonably requested; and (b) ensure that a suitable agreement is in place with the third party as required under applicable Data Protection Legislation.

  • Claims Handling Unless it has been agreed that the Client will deal with claims directly with insurers, WTW will provide claims handling services for the period of its appointment. These services can be continued beyond that point by mutual agreement but will be subject to additional remuneration. WTW’s claims handling service includes, upon receiving the required information from the Client, the notification of the claim or circumstances to insurers. It will also involve the ongoing provision of information and arranging the collection and/or settlement of the claim in accordance with market practice and the terms and conditions of the policy. Unless agreed otherwise, WTW’s claims handling services do not include the services provided by WTW’s insurance claims advocates (see below). Where the complexities of cover or the technical nature of the subject matter cause difficulty in progressing a claim, WTW has a team of insurance claims advocates who are experienced in negotiating complex claims and managing the settlement process. WTW reserves the right to charge additional remuneration if the Client requests the services of these claims advocates. In relation to marine claims, and in line with long-standing practice of the marine insurance market, WTW may earn additional remuneration by way of claims collecting commission of up to 1% on all amounts WTW collects from insurers as consideration for additional support provided in the negotiation and settlement of a loss. WTW will not charge claims collecting commission where the Client agrees to pay for the services of WTW’s insurance claims advocates. Where WTW collects claims payments, these will be remitted to the Client as soon as possible. However, WTW will not remit claims monies to the Client before WTW has received them from insurers. Where WTW has been granted authority by insurers to settle claims on the Client’s insurance, for example under a binding authority, managing general agency or a lineslip agreement, WTW will do so within the terms and conditions of the authority granted and the Client’s contract. When exercising delegated authority, it is WTW’s policy to refer claims to insurers for settlement decision where WTW is not able to settle the claim on a 100% basis.

  • STATEWIDE CONTRACT MANAGEMENT SYSTEM If the maximum amount payable to Contractor under this Contract is $100,000 or greater, either on the Effective Date or at any time thereafter, this section shall apply. Contractor agrees to be governed by and comply with the provisions of §§▇▇-▇▇▇-▇▇▇, ▇▇-▇▇▇-▇▇▇, ▇▇-▇▇▇-▇▇▇, and ▇▇- ▇▇▇-▇▇▇, C.R.S. regarding the monitoring of vendor performance and the reporting of contract information in the State’s contract management system (“Contract Management System” or “CMS”). Contractor’s performance shall be subject to evaluation and review in accordance with the terms and conditions of this Contract, Colorado statutes governing CMS, and State Fiscal Rules and State Controller policies.

  • Data Collection, Processing and Usage Personal data collected, processed and used by the Company in connection with Awards granted under the Plan includes the Grantee’s name, home address, email address, telephone number, date of birth, social insurance number or other identification number, salary, citizenship, job title, any shares of Common Stock or directorships held in the Company, and details of all Awards granted, cancelled, exercised, vested, or outstanding. In granting Awards under the Plan, the Company will collect the Grantee’s personal data for purposes of allocating shares of Common Stock in settlement of the Awards and implementing, administering and managing the Plan. The Company collects, processes and uses the Grantee’s personal data in compliance with Company’s Employment Data Protection Standards and the Uses of Employment Data for the Company’s Entities.
