Requirements of Authorities. (a) The Purchaser is liable for all requirements of Authorities relating to the Property issued after the Agreement Date, except for any requirements of Authorities which arise as a result of the acts of the Vendor after the Agreement Date.

(a) The Tenant must comply and ensure the Tenant's Invitees comply with all Laws and all notices, orders and directives from any Authority relating to the use or occupation of the Premises, obtain the consents or licences needed, comply with any conditions of consent and keep current any licences or registrations needed for the use of the Premises by the Tenant.

ZCC III acknowledges that it has inspected and accepted the Operating Site and existing conditions, has examined and understands the Location Plan and is familiar with all laws, regulations, codes, ordinances and rules pertinent to the construction contemplated in this Agreement. In connection with the construction of the Required Number of Turbines, the Related Turbine Equipment pertaining thereto and the Power Substation, ZCC III shall provide all items required by the Authorities, shall obtain all approvals and permits required by the Authorities and shall observe and comply with all requirements of the Authorities. If any approvals or permits or requirements of the Authorities are inconsistent with the Location Plan or any provisions of this Agreement, the approvals or permits or requirements of the Authorities shall control and all obligations in connection therewith shall be at the sole cost of ZCC III.
Requirements of Authorities. 21.01 Any valid notice or order issued prior to the date of this Agreement pursuant to any statutes or by any Local Authority or Court necessitating the doing of work or expenditure of money on or in relation to the improvements or on any path or road adjoining the Land must be folly complied with by the Vendor in a proper and workmanlike manner prior to the date for completion and any such notice or order issued on or after the date of this Agreement must be complied with by the Purchaser who must indemnify the Vendor. If without default of the Purchaser the Agreement is terminated the Vendor must pay to the Purchaser any amount expended by the Purchaser in complying with any such notice which was in the nature of capital expenditure or has resulted in a benefit to the Vendor.
