Proof of Authorization. The Administrative Agent shall have received, with a copy for each Lender: (i) certified copies of all partnership action of the Borrower authorizing the execution, delivery and performance by the Borrower of this Agreement and each other Loan Document to which the Borrower is a party and each Primary Agreement to which the Borrower is a party and any other agreement or document to be executed and delivered by the Borrower in connection with the transactions contemplated hereby; (ii) certificates as to the incumbency and signature of each individual signing any Loan Document or Primary Agreement on behalf of the Borrower; and (iii) evidence of the existence and good standing of the Borrower in the State of Delaware and of the Borrower's authorization to do business and good standing in the States of New York and Connecticut.
