Relations with Customers and Suppliers. (a) SCHEDULE 4.27(A) sets forth the names and addresses of all of the customers and suppliers of the Company and its Subsidiaries that ordered or provided goods or merchandise, raw materials, supplies, merchandise and other goods, as the case may be, from or for the Company or its Subsidiaries, with an aggregate value or purchase price, as the case may be, of one hundred thousand dollars ($100,000) or more during the period from January 1, 2003 to October 29, 2004.

Relations with Customers and Suppliers. Dexter shall, and shall cause the other Dexter Coatings Companies to, use reasonable efforts to preserve their relations with customers and suppliers of the Coatings Business.

Except as set forth in Schedule 3.26(i) of the Seller Disclosure Letter, neither the Seller nor any the Seller Companies has received any notice that any significant customer or significant supplier intends to, or desires to, cease its business relationship with any of the Seller Companies, curtail or delay purchases from or sales to any of the Seller Companies, to renegotiate pricing or terms with any of the Seller Companies, alter any contract with any of the Seller Companies or cease or reduce, curtail or delay its operations or expenditures in any material respect. Except as set forth in Schedule 3.26(ii) of the Seller Disclosure Letter, to the Knowledge of Seller, there are no expected material losses or significant reductions in margins expected to be realized by any of the Seller Companies under, or penalties or refunds payable by any of the Seller Companies under, any of its contracts.
Relations with Customers and Suppliers. Except as set forth on Schedule 4.22(a), no Selling Party has received any notice that any Significant Customer or Significant Supplier intends to, or desires to, cease its business relationship with Seller or the Business (before or after Closing), significantly curtail purchases from or sales to Seller or the Business (before or after Closing), or renegotiate pricing or terms with Seller or Buyer with respect to the Business (before or after Closing). For the purposes hereof, a “Significant Customer” shall mean any of the top 20 customers of Seller as determined by the total revenue received from customers of Seller during the twelve-month period ending on the date hereof, a complete list of which (including the name, address and revenue received from each such customer) is set forth on Schedule 4.22(b); and a “Significant Supplier” shall mean any of the most significant suppliers to Seller which in the aggregate account for up to 75% of the products purchased by Seller during the twelve-month period ending on the date hereof, as determined by the total expenses paid to suppliers of Seller during such period, a complete list of which (including the name, address and expenses paid to each such supplier) is set forth on Schedule 4.22(c).

Relations with Customers and Suppliers. Since June 30, 1999, no customer with annual orders in excess of $25,000 per year, or material supplier of the Seller has indicated that it intends to cease its relationship with the Seller.
Relations with Customers and Suppliers. No Significant Supplier or Significant Customer of any member of the SKM Group has cancelled any contract since 1 January 2009, or has indicated to any member of the SKM Group an intention to cancel or not renew any contract that is renewable by its terms or to not exercise any option to extend any contract that contains an option to extend, and to the best of the knowledge of the SKM Parties, there has been no threat by any supplier not to provide products, supplies or services (including utilities) to any member of the SKM Group.
