Provision of Purchased Services. We shall make the Purchased Services available to You pursuant to this Agreement and the relevant Order Forms during a subscription term. You agree that Your purchases hereunder are neither contingent on the delivery of any future functionality or features nor dependent on any oral or written public comments made by Us regarding future functionality or features.

Provision of Purchased Services. We will (a) make the Services and Content available to You pursuant to this Agreement and the applicable Order Forms, (b) provide applicable DealerTeam standard support for the Services to You at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which We shall give advance electronic notice as provided in the Documentation), and (ii) any unavailability caused by circumstances beyond Our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving Our employees), Internet service provider failure or delay, Non-DealerTeam Application, or denial of service attack.

We reserve the right to make changes to the Services at any time and from time to time, provided, however, that We will not materially decrease the functionality of the Purchased Services during a Subscription Term. If We make a material change to the Services, We will notify you of such change in accordance with Section 13.1 (Manner of Giving Notice). This Agreement does not govern any 4SIGHT API Services or any Professional Services that are purchased by or made available to You. To the extent that the Services referenced in Your Order Form include 4SIGHT API Services, such 4SIGHT API Services will be provided pursuant to the API Services and License Agreement between You and Us. To the extent Your Order Form references any Professional Services, such Professional Services will be provided under and subject to a separate Professional Services Agreement and the corresponding SOW between You and Us.
