Common use of Provision of Purchased Services Clause in Contracts

Provision of Purchased Services. We will (a) make the Purchased Services available to You pursuant to this Agreement and the applicable Order Forms and (b) provide Our standard support for the Purchased Services to You at no additional charge, and/or upgraded support if purchased. Notwithstanding the foregoing, the Purchased Services may not be available due to: (i) planned downtime (of which We shall give at least 8 hours electronic notice through the Services and which We shall schedule to the extent practicable during the weekend hours), and (ii) circumstances beyond Our reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving Our employees), Internet service provider failure or delay, Non-4SIGHT Application failure or delay, or denial of service attack. We reserve the right to make changes to the Services at any time and from time to time, provided, however, that We will not materially decrease the functionality of the Purchased Services during a Subscription Term. If We make a material change to the Services, We will notify you of such change in accordance with Section 13.1 (Manner of Giving Notice). This Agreement does not govern any 4SIGHT API Services or any Professional Services that are purchased by or made available to You. To the extent that the Services referenced in Your Order Form include 4SIGHT API Services, such 4SIGHT API Services will be provided pursuant to the API Services and License Agreement between You and Us. To the extent Your Order Form references any Professional Services, such Professional Services will be provided under and subject to a separate Professional Services Agreement and the corresponding SOW between You and Us.

To the extent Your Order Form references any Professional Services, such Professional Services will be provided under and subject to a separate Professional Services Agreement and the corresponding SOW SOW, if any, between You and Us.
