Proposed Services. TCS-1 System Maintenance: Technical and Market Support The Company requires all of its TCS-1 System purchasers to agree to enter into a Maintenance and Technical and Market Support Agreement (the "Proposed Maintenance Agreements"). In connection therewith the Company intends to provide timely, high quality technical support to insure that the TCS-1 System will perform in conformance with its specifications. Until the test phase of the first production sized model of the TCS-1 System is completed, the Company will be unable to finalize the definitive parameters of the services which it intends to offer under the Proposed Maintenance Agreements. Currently proposed plans call for the Company, or the Company's designated service provider, to provide, or be responsible for, all technical and other labor necessary for the maintenance of the TCS-1 System at a performance level capable of disintegrating the equivalent of one million automobile tires per year on a twenty-four hour per day, three hundred sixty-five day per year basis, in accordance with an operations and performance specifications manual to be furnished to the customer. The Proposed Maintenance Agreements are expected to require the Company to provide (i) regularly scheduled on-site preventive maintenance including but not be limited to inspection and assessment of wear factors affecting all constituent components of the System and determination and effectuation of replacement and/or recalibration requirements and (ii) unscheduled remedial maintenance, on an as needed basis. Other responsibilities which the Company, or its authorized service provider, are intended to assume under the Proposed Maintenance Agreements will include: (i) providing and maintaining computerized equipment to monitor and document the performance by the operator of the TCS-1 System of all routine maintenance procedures; (ii) reviewing the data retrieved thereby on a monthly, or more frequent, basis; (iii) immediately advising the operator of any improper performance of any of such Procedures; (iv) providing remedial instructions to the Operator's personnel with respect to the proper performance of certain routine maintenance procedures to be performed by the TCS-1 System Operator, and; (v) upon request of the Operator, re-training its personnel. It will provide the framework necessary to differentiate the company from its competitors, and is based on a level of understanding and development of the company's Unique Selling Proposition (USP). The result will be a clearly defined company and brand positioning platform. This platform will enable FutureLink to deliver consistent, high-impact messages to well defined target audiences, across the complete spectrum of communication vehicles, from public relations through brochures, from advertising to trade shows -- whatever medium might be employed. CWE has designed numerous stormwater capture and groundwater recharge benefit projects, and we are a recognized trailblazer in the design of innovative projects that enhance water quality, protect the environment, and improve quality of life for local communities. We have planned and designed more award-winning regional BMP project than any other firm in Southern California. CWE designed and provided construction management for the City of Torrance Stormwater Basin and Treatment Wetlands Enhancement project. This project received a total of seven awards from the APWA, ENR, ASCE, CASQA, and Storm Water Solutions magazine. CWE designed two treatment wetlands, two infiltration basins, and 300 feet of pressured storm drain piping to retain, treat, and infiltrate stormwater runoff to help the City comply with the Santa ▇▇▇▇▇▇ ▇▇▇ Beaches Bacteria Total Maximum Daily Load (TMDL). CWE performed a topographic and boundary survey of each basin and coordinated a geotechnical investigation for the design of earthwork, pipelines, structures, other site improvements, and infiltration capabilities of three basins. A wetlands sustainability analysis was performed to evaluate dry-weather inflows, evaporation, evapotranspiration, and infiltration, and ensure the long-term functionality of the wetlands system. CWE conducted a hydrologic analysis using the Modified Rational Method (MODRAT) in Watershed Modeling System (WMS) to evaluate the reservoir routing and pumping from the interconnected wetlands/ detention basin system under Capital Flood and Standard Urban Stormwater Mitigation Plan (SUSMP) conditions. Water quality modeling determined the reduction in pollutant loads. The estimated annual pollutant load reduction for this project is 91%. Using the stormwater for irrigation reduces the potable water demand by approximately 2,800,000 gallons annually. Assistive technology evaluations involve pre-meeting phone conversations with both the state departments/bureaus/departments making the initial referral, and the individual to be evaluated. From these conversations will be derived a selection of appropriate adaptive technology to be demonstrated on-site to the end user, in conjunction with the state provided mainstream computer systems necessary for the employee to perform all job functions. The end user will have the opportunity to agree that proposed assistive technology will, in fact, grant them the degree of access necessary to perform all the tasks necessary in the performance of their job duties. A written report of this assessment will then be provided to the individual making the initial referral. Monthly invoices will be sent to referring agencies indicating work done for each employee or assigned entity at a rate of $120 per hour including travel in a single direction.
