Free Trial Sample Clauses

Free Trial. If Customer uses a Free Trial Service, PROS will make such Free Trial Service available to Customer on a trial basis, free of charge, until the earlier of (a) the end of the free trial period for which Customer agreed to use such Free Trial Service, (b) the start date of any Subscription Service purchased by Customer for the same service, or (c) termination of the Free Trial Service by PROS in its sole discretion. Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. Free Trial Services are provided for evaluation purposes and not for production use. Customer shall have sole responsibility and PROS assumes no liability for any Customer Data that Customer may choose to upload on the Free Trial Services. Notwithstanding Section 5 and 6 above, Free Trial Services are provided “as is” with no express or implied warranty and PROS shall have no indemnification obligations, nor any liability of any type with respect to a Free Trial Service, unless such exclusion of liability is unenforceable under applicable law in which case, PROS total aggregate liability arising out of or relating to a Free Trial Service is US$1,000. Notwithstanding anything to the contrary in Section 7 above, Customer shall be fully liable for any damages arising out of its use of a Free Trial Service. Any Customer Data and configurations entered into Customer’s Free Trial Service account may be permanently lost upon termination of the Free Trial Service.

Free Trial. If We make any of Our products and services available to You as part of a free trial, those products and services will be considered “Services” under this Agreement, including this Section 13, even if the products and services are not specified in an Order Form, notwithstanding the “Services” definition in Section 1 (Definitions). Any such free trial will end at the earlier of (a) the end of the free trial period, (b) the start date of any subscriptions purchased by You for such Services, or (c) termination by Us in our sole discretion. Free Trial. (a) Subject to the terms of this Agreement, Subscriber is granted the right to use Service for evaluation purposes free of charge for a period specified in Subscription Confirmation starting from the date of switching to the free trial (the “Trial Period”). JetBrains will make Service available to Subscriber on a trial basis until the earlier of: (i) expiration of the Trial Period, or; (ii) Subscriber obtaining any of the available Subscriptions. (b) Subscriber’s use of Service during the Trial Period shall be limited to the internal evaluation of Software for the sole purpose of determining whether Service meets Subscriber’s requirements and whether Subscriber desires to continue using Service. (c) JETBRAINS DOES NOT WARRANT THAT ANY SUBSCRIBER’S DATA ENTERED BY SUBSCRIBER DURING THE TRIAL PERIOD AND ANY CUSTOMIZATIONS MADE TO SERVICE BY OR FOR SUBSCRIBER DURING THE FREE TRIAL WILL BE STORED OR AVAILABLE UPON EXPIRATION OF THE TRIAL PERIOD, UNLESS SUB- ▇▇▇▇▇▇▇ OBTAINS AN APPROPRIATE PAID SUBSCRIPTION TO CONTINUE USING SERVICE. Subscriber is re- sponsible for taking measures to prevent loss or damage of Subscriber’s Data upon expiration of the Trial Period.

Free Trial. If the Customer is provided with a free trial of the Cloud Services, EQS Group may stop providing the Cloud Services at its sole discretion without any prior notice, and the Cloud Services are provided “AS IS” without any support or warranties.

Free Trial. You register for a free trial, We will make one or more Services available to You on a trial basis free of charge until the earlier of (a) the end of the thirty (30) day free trial period for which You registered, or (b) the start date of any paid subscriptions ordered by You for such Service(s). A free trial shall be limited to up to two (2) administrator accounts and up to twenty (20) associated licenses. In addition, We may further limit, suspend, or terminate a free trial in our sole discretion if We believe that Your activities are creating problems, possible legal liabilities, or acting inconsistently with the letter or spirit of this Agreement or Our policies. Additional free trial terms and conditions (beyond those set forth in this Agreement) may appear on the free trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. ANY DATA YOU ENTER INTO THE SERVICES DURING YOUR FREE TRIAL WILL BE PERMANENTLY LOST UNLESS YOU PURCHASE A SUBSCRIPTION TO THE SAME SERVICES AS THOSE COVERED BY THE FREE TRIAL, PURCHASE APPLICABLE UPGRADED SERVICES OR EXPORT SUCH DATA (IF APPLICABLE) BEFORE THE END OF THE FREE TRIAL PERIOD. YOU CANNOT TRANSFER DATA ENTERED DURING THE FREE TRIAL TO A SERVICE THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE FREE TRIAL (E.G., FROM THE PREMIUM VERSION TO THE ENHANCED VERSION); THEREFORE, IF YOU PURCHASE A SERVICE THAT WOULD BE A DOWNGRADE FROM THAT COVERED BY THE FREE TRIAL, YOU MUST EXPORT YOUR DATA (IF APPLICABLE) BEFORE THE END OF THE FREE TRIAL PERIOD OR YOUR DATA WILL BE PERMANENTLY LOST. NOTWITHSTANDING SECTIONS 13(A) AND (B), DURING THE FREE TRIAL THE SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY. SUPPORT DURING THE FREE TRIAL SHALL NOT BE PROVIDED ON A 24X7 BASIS AND SHALL BE LIMITED AS SET FORTH ON OUR WEBSITE. Please review the applicable Service’s Documentation during the Free Trial period so that You become familiar with the features and functions of the Services before You make Your purchase.

Free Trial. If you are using a Service Offering under a trial, instead of the Order applying this paragraph F will apply and, in the event of any inconsistency, this paragraph F takes precedence over the remainder of any Agreement and in particular any warranties, promises and/or terms purporting to limit liability. You acknowledge that a trial Service Offering is (unless otherwise agreed between us in writing) provided free of charge for a trial period. Accordingly, and subject to clause 12.1, we shall not be liable to you (whether for breach of contract, negligence, misrepresentation or for any other reason) for any loss or damage whatsoever incurred or sustained by you in connection with the Agreement and/or use of a trial Service Offering whether such loss or damage is direct, indirect or consequential and including, without limitation (direct and indirect): (i) loss of profit; (ii) loss of business; (iii) lost data; (iv) work delays; and (v) wasted staff or management time. Each trial Service Offering is provided "as is" with no warranties, undertakings, conditions or terms of any kind, whether express or implied, statutory or otherwise. In particular, no condition, warranty, representation and/or other term is given or entered into to the effect that the trial Service Offering will be of satisfactory (or other) quality, that it will be fit for any particular purpose (whether made known to us or not), that use of the trial Service Offering will be uninterrupted or error-free, or that it will perform to or operate in accordance with any particular standard. On expiration of any free trial period, you will be automatically signed up on a fee-paying basis for that Service Offering, unless we receive notice from you in writing to the contrary prior to expiration of the free trial period.

If You are located in the United States, then during any free trial period We may disclose anonymous data about Your use of the Services (“Usage Statistics”) to our service providers for the purpose of helping us improve the Services. Any such disclosures of Usage Statistics to our service providers will not include Your identity.
