Free Trial. If Customer uses a Free Trial Service, PROS will make such Free Trial Service available to Customer on a trial basis, free of charge, until the earlier of (a) the end of the free trial period for which Customer agreed to use such Free Trial Service, (b) the start date of any Subscription Service purchased by Customer for the same service, or (c) termination of the Free Trial Service by PROS in its sole discretion. Additional trial terms and conditions may appear on the trial registration web page. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. Free Trial Services are provided for evaluation purposes and not for production use. Customer shall have sole responsibility and PROS assumes no liability for any Customer Data that Customer may choose to upload on the Free Trial Services. NOTWITHSTANDING SECTION 5 AND 6 ABOVE, FREE TRIAL SERVICES ARE PROVIDED “AS IS” WITH NO EXPRESS OR IMPLIED WARRANTY AND PROS SHALL HAVE NO INDEMNIFICATION OBLIGATIONS, NOR ANY LIABILITY OF ANY TYPE WITH RESPECT TO A FREE TRIAL SERVICE, UNLESS SUCH EXCLUSION OF LIABILITY IS UNENFORCEABLE UNDER APPLICABLE LAW IN WHICH CASE, PROS TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A FREE TRIAL SERVICE IS US$1,000. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN SECTION 7 ABOVE, CUSTOMER SHALL BE FULLY LIABLE FOR ANY DAMAGES ARISING OUT OF ITS USE OF A FREE TRIAL SERVICE. ANY CUSTOMER DATA AND CONFIGURATIONS ENTERED INTO CUSTOMER’S FREE TRIAL SERVICE ACCOUNT MAY BE PERMANENTLY LOST UPON TERMINATION OF THE FREE TRIAL SERVICE.

UPON TERMINATION OR EXPIRATION OF THE TRIAL PERIOD, YOU SHALL DELETE OR DESTROY ALL COPIES OF XXXX.XXX DATA IN YOUR SYSTEMS, OR OTHERWISE IN YOUR POSSESSION OR CONTROL, THAT YOU ACQUIRED IN CONNECTION WITH SUCH TRIAL SUBSCRIPTION, UNLESS YOU PURCHASE A SUBSCRIPTION TO THE SAME XXXX.XXX SERVICES AS THOSE PROVIDED UNDER THE TRIAL PERIOD OR UPGRADED XXXX.XXX SERVICES, IN WHICH CASE ANY XXXX.XXX DATA IN YOUR SYSTEMS OR OTHERWISE IN YOUR POSSESSION OR CONTROL SHALL BE USED BY YOU IN ACCORDANCE WITH THE TERMS OF THIS AGREEMENT. UPON OUR WRITTEN REQUEST, YOU SHALL PROVIDE US WITH A SIGNED CERTIFICATE EVIDENCING ANY DELETION REQUIRED UNDER THIS PARAGRAPH. ANY CUSTOMIZATIONS MADE TO AN ONLINE XXXX.XXX APPLICATION DURING YOUR FREE TRIAL WILL BE PERMANENTLY LOST UNLESS YOU PURCHASE A SUBSCRIPTION TO THE SAME XXXX.XXX ONLINE APPLICATION AS THAT COVERED BY THE TRIAL, OR PURCHASE AN UPGRADED XXXX.XXX ONLINE APPLICATION, BEFORE THE END OF THE TRIAL PERIOD. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, DURING THE FREE TRIAL THE XXXX.XXX SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY OR SUPPORT WHATSOEVER.

Notwithstanding anything to the contrary in Section 7 above, Customer shall be fully liable for any damages arising out of its use of a Free Trial Service. Any Customer Data and configurations entered into Customer’s Free Trial Service account may be permanently lost upon termination of the Free Trial Service.

Notwithstanding Sections 2 (Our Responsibilities), 8 (Confidentiality), 9 (Representation, Warranties, Exclusive Remedies and Disclaimers), and 10.1 (Indemnification by Us), in any free trial We provide the Services “AS IS,” without any warranty, covenant, commitment or liability whatsoever, to the extent permitted by law. Please review the applicable Service’s Documentation during the trial period so that You become familiar with the features and functions of the Services before You make Your purchase.

NOTWITHSTANDING SECTION 8 (REPRESENTATIONS, WARRANTIES, EXCLUSIVE REMEDIES AND DISCLAIMERS), DURING THE FREE TRIAL THE SERVICES ARE PROVIDED “AS-IS” WITHOUT ANY WARRANTY. If You are located in the United States, then during any free trial period We may disclose anonymous data about Your use of the Services (“Usage Statistics”) to our service providers for the purpose of helping us improve the Services. Any such disclosures of Usage Statistics to our service providers will not include Your identity.
Free Trial. If you are using a Service Offering under a trial, instead of the Order applying this paragraph F will apply and, in the event of any inconsistency, this paragraph F takes precedence over the remainder of any Agreement and in particular any warranties, promises and/or terms purporting to limit liability. You acknowledge that a trial Service Offering is (unless otherwise agreed between us in writing) provided free of charge for a trial period. Accordingly, and subject to clause 12.1, we shall not be liable to you (whether for breach of contract, negligence, misrepresentation or for any other reason) for any loss or damage whatsoever incurred or sustained by you in connection with the Agreement and/or use of a trial Service Offering whether such loss or damage is direct, indirect or consequential and including, without limitation (direct and indirect): (i) loss of profit; (ii) loss of business; (iii) lost data; (iv) work delays; and (v) wasted staff or management time. Each trial Service Offering is provided "as is" with no warranties, undertakings, conditions or terms of any kind, whether express or implied, statutory or otherwise. In particular, no condition, warranty, representation and/or other term is given or entered into to the effect that the trial Service Offering will be of satisfactory (or other) quality, that it will be fit for any particular purpose (whether made known to us or not), that use of the trial Service Offering will be uninterrupted or error-free, or that it will perform to or operate in accordance with any particular standard. On expiration of any free trial period, you will be automatically signed up on a fee-paying basis for that Service Offering, unless we receive notice from you in writing to the contrary prior to expiration of the free trial period.
Free Trial. If you either register on the RStudio web site for a free trial of the Software or otherwise order a free trial version of the Software, RStudio will make the Software available to you free of charge (the “Trial Version”) until the end of the free trial period for which you registered or ordered the applicable Software. You may only use the Trial Version to review, demonstrate, and evaluate the Software, and the Trial Version may have limited functionality. The Trial Version will cease operating after the applicable time period based on an internal metering mechanism within the Trial Version itself. Regardless of any such metering, you must stop use at the end of the free trial period. Additional trial terms and conditions may appear on the trial registration web page or Order Form. Any such additional terms and conditions are incorporated into this Agreement by reference and are legally binding. You shall not (A) install or use more than one copy of the Trial Version or use the Trial Version on more than one computer except, if necessary, for the sole purpose of evaluating load balancing features, (B) download the Trial Version under more than one username, (C) alter the contents of a hard drive or computer system to enable the use of the Trial Version for an aggregate period in excess of the trial period for one license to such Trial Version, (D) disclose the results of software performance benchmarks obtained using the Trial Version to any third party without RStudio's prior written consent, (E) use the Trial Version to update Software that is no longer eligible for Support Services, or (F) use the Trial Version for any purpose other than the sole purpose of determining whether to purchase a license to the Software. NOTWITHSTANDING SECTION 9 (LIMITED WARRANTY AND DISCLAIMER), DURING A FREE TRIAL, THE TRIAL VERSION AND ANY APPLICABLE SERVICES ARE PROVIDED “AS- IS” WITHOUT WARRANTY.
