Common use of Provision of Purchased Services Clause in Contracts

Provision of Purchased Services. WOOQER will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order Forms, (b) provide applicable WOOQER standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQER’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER employees), Internet service provider failure or delay, Non-WOOQER Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQER’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement and the applicable Order Form.

WOOQER ENLYT will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER ENLYT standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER ENLYT shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQERENLYT’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER ENLYT employees), Internet service provider failure or delay, Non-WOOQER ENLYT Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERENLYT’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER SecurityStudio will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER SecurityStudio standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER SecurityStudio shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQERSecurityStudio’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER SecurityStudio employees), Internet service provider failure or delay, Non-WOOQER SecurityStudio Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERSecurityStudio’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER QEEXO will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER QEEXO standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER QEEXO shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQERQEEXO’s reasonable control, including, for example, an act of God, act of government, pandemic, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER QEEXO employees), Internet service provider failure or delay, Non-WOOQER QEEXO Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERQEEXO’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER DELIVERAIN will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER DELIVERAIN standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER DELIVERAIN shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQERDELIVERAIN’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER DELIVERAIN employees), Internet service provider failure or delay, NonNON-WOOQER DELIVERAIN Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERDELIVERAIN’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER AUGINTEL will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER AUGINTEL standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER AUGINTEL shall give advance electronic notice), ) and (ii) any unavailability caused by circumstances beyond WOOQERAUGINTEL’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER AUGINTEL employees), Internet service provider failure or delay, Non-WOOQER Non- AUGINTEL Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERAUGINTEL’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s and Users’ use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER REVTWO will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER REVTWO standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER REVTWO shall give advance electronic notice), and (ii) any unavailability caused by circumstances beyond WOOQERREVTWO’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER REVTWO employees), Internet service provider failure or delay, Non-WOOQER REVTWO Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERREVTWO’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.

WOOQER PUSHTOPIC will (a) make the Services and Content available to Customer pursuant to this Agreement, and the applicable Order FormsForms and Documentation, (b) provide applicable WOOQER PUSHTOPIC standard support for the Purchased Services to Customer at no additional charge, and/or upgraded support if purchased, (c) use commercially reasonable efforts to make the online Purchased Services available 24 hours a day, 7 days a week, except for: (i) planned downtime (of which WOOQER shall give advance electronic notice)Xxxxxxxxxx.xxx, and (ii) any unavailability caused by circumstances beyond WOOQERPUSHTOPIC’s reasonable control, including, for example, an act of God, act of government, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem (other than one involving WOOQER PUSHTOPIC employees), Internet service provider failure or delay, Non-WOOQER PUSHTOPIC Application, or denial of service attack, and (d) provide the Services in accordance with laws and government regulations applicable to WOOQERPUSHTOPIC’s provision of its Services to its customers generally (i.e., without regard for Customer’s particular use of the Services), and subject to Customer’s use of the Services in accordance with this Agreement Agreement, the Documentation and the applicable Order Form.
