Project Development, Design and Construction. The TIFIA Lender shall have the right in its sole discretion to monitor (or direct its agents to monitor) the development, including environmental compliance, design, right-of-way acquisition and construction of the Project. Oversight of the development, environmental compliance, design, right-of-way acquisition and construction monitoring of the Project shall be conducted pursuant to the FTA Project Management Oversight Regulations, and related published guidance, which may be amended from time to time. The Borrower agrees to cooperate in good faith with the TIFIA Lender and FTA Regional Office in the conduct of such monitoring by promptly providing the TIFIA Lender and the FTA Regional Office with such reports, documentation or other information as shall be requested by the XXXXX Xxxxxx, and/or FTA Regional Office or its agents, including any independent engineer reports, documentation or information.

The Borrower agrees to cooperate in good faith with the TIFIA Lender in the conduct of such monitoring by promptly providing the TIFIA Lender and the FHWA Division Office with such reports, documentation or other information as shall be requested by the TIFIA Lender, or its agents, including any engineer reports, documentation or information.

The Borrower agrees to cooperate in good faith with the TIFIA Lender in the conduct of such monitoring by promptly providing the TIFIA Lender with such reports, documentation or other information as shall be requested by the TIFIA Lender, or its agents, including any independent or consulting engineer reports, documentation or information.

VDOT shall be responsible for administering construction oversight of the Project in accordance with the ARCA and, once executed, any Development Contract. VDOT’s oversight of the Project, including development, environmental compliance, design, right-of-way acquisition, and construction, shall be conducted pursuant to the Oversight Agreement and the Efficiencies Agreement (attached as Exhibits F and G, respectively), which may be amended from time to time upon mutual agreement of VDOT and FHWA, or when so required by federal statute or otherwise required by the United States Congress. The Concessionaire agrees to cooperate in good faith with the TIFIA Lender in the conduct of such monitoring by promptly providing the TIFIA Lender with such reports, documentation or other information as shall be requested by the TIFIA Lender, or its agents, including any Independent Engineer reports, documentation or information.

The Borrower agrees to cooperate in good faith with the XXXXX Xxxxxx in the conduct of such monitoring by promptly providing the TIFIA Lender and the FHWA Division Office with such reports, documentation or other information as shall be requested by the XXXXX Xxxxxx, or its agents, including any engineer reports, documentation or information.

The Borrower agrees to cooperate in good faith with SANDAG, the TIFIA Lender and FTA Regional Office in the conduct of such monitoring by promptly providing the TIFIA Lender and FTA Regional Office with such reports, documentation or other information as shall be requested by the TIFIA Lender and FTA Regional Office, or its agents, including any independent engineer reports, documentation or information.
