PERSONAL PROFIT the gaining of any profit, remuneration, or financial or non-financial advantage to which the Insured is not entitled; provided, however, the Insurer will provide the Insured with a defense of any otherwise covered claim and pay any otherwise covered claim expenses until there is a final, non-appealable judgment or adjudication in any action or proceeding as to such gaining of profit, remuneration, or financial or non-financial advantage to which the Insured is not entitled, at which time the Insureds shall reimburse the Insurer for all claim expenses.

PERSONAL PROFIT. To indemnify any Indemnitee if the claim of such Indemnitee is proved by final judgment in a court of law or other final adjudication to have been based upon or attributable to the Indemnitee’s in fact having gained a substantial personal profit or advantage to which such Indemnitee was not legally entitled.

  • Business Interruption Plan ALPS shall maintain in effect a business interruption plan, and enter into any agreements necessary with appropriate parties making reasonable provisions for emergency use of electronic data processing equipment customary in the industry. In the event of equipment failures, ALPS shall, at no additional expense to the Fund, take commercially reasonable steps to minimize service interruptions.

  • Overhead and Profit The percentage for overhead and profit to be used in calculating additive changes in the Work (not including changes covered by unit prices) shall not exceed the percentages for each category listed below.
