Packaging and Delivery. Unless otherwise stated on the face of this Purchase Order, the price includes all packaging, dunnage, containers, etc. to protect the goods in transit. Unless otherwise stated on the face of this Purchase Order, the Seller shall deliver the goods F.O.B. at Company’s place of business.
Packaging and Delivery. (a) Buyer must not alter or distort, in part or in full, the packaging, markings, numbers, or consistency of the Products as they exist at the time of delivery, or sell the Products in other than their original, unaltered packaging or use those which may have been altered or distorted in any way. (b) Without prejudice to the above, Buyer is responsible for ensuring that the Products comply with the rules and standards governing the labeling and marking of products in force in the country of import. (c) All export and import permits and licenses and the payment of all export and import duties and customs fees will be the responsibility of Seller, if Seller is delivering the Products within the United States. All export and import duties, fees, permits, licenses, etc. for Products delivered outside of the United States will be the responsibility of Buyer. (d) Products will be delivered F.O.B. Seller’s facility. (e) Seller may elect to deliver the Product in installments. Each installment will be considered a separate sale and Buyer will pay for each installment in accordance with these Terms. Any Products considered “back-ordered” will be considered an installment. (f) Risk of loss passes to Buyer upon the provision of the Products to the carrier regardless of the payment of shipping charges, notwithstanding any provision of law to the contrary. (g) Seller will attempt to fill and ship all orders to Buyer at the requested time of delivery, subject to Seller’s choice of transport and further subject to Seller’s present engineering and manufacturing capacity and scheduling. Seller may revise delivery schedules at any time without liability and at Buyer’s cost.
Packaging and Delivery. 5.1 Delivery will take place at the Company’s premises where the Order is accepted unless the Company agrees to effect delivery or arrange freight to an address specified by the Customer, in which case delivery will take place at such address.

(c) All export and import permits and licenses and the payment of all export and import duties and customs fees will be the responsibility of Seller, if Seller is delivering the Products within the United States. All export and import duties, fees, permits, licenses, etc. for Products delivered outside of the United States will be the responsibility of Buyer. (d) Products will be delivered EXW Seller’s facility and delivery will be completed when Seller notifies Buyer that the Products are ready and places the Products at the disposal of Buyer unless otherwise noted in the purchase order and confirmed in the acknowledgement of order. (e) Seller may elect to deliver the Products in instalments. Each instalment will be considered a separate sale and Buyer will pay for each instalment in accordance with these Terms. Any delay in delivery or defect in an instalment will not entitle Buyer to cancel any other instalment. Any Products considered “back-ordered” will be considered an instalment. (f) Seller will attempt to fill and deliver all orders to Xxxxx at the requested time of delivery, subject to Seller’s present engineering and manufacturing capacity and scheduling. Packaging and Delivery. Unless the parties agree otherwise, all Products ordered by Distributor shall be packed for shipment and storage in accordance with Developer’s Manufacturer’s standard commercial practices. All Products will be packaged and sterilized with the CE mark. Developer’s Manufacturer shall deliver Products into the possession of a common carrier designated by Distributor, no later than the date specified for such delivery on the relevant purchase order for such Products and no earlier than the date three (3) days prior to such specified date. Risk of loss and damage to a Product shall pass to Distributor upon the deliver of such Product to the common carrier designated by Distributor. All claims for non-conforming shipments must be made in writing to Developer’s Manufacturer within ten (10) days of the passing of risk of loss and damage, as described above. Any claims not made within such period shall be deemed waived and released.
