Overcharge. If it is established by the audit, or by any other means, that the CONSULTANT has overbilled or overstated its costs, fees, or reimbursable expenses (Overcharge) to the City, then the amount of any Overcharge shall be refunded by the CONSULTANT, together with interest at the rate of one percent (1%) per month and the CITY's reasonable and provable costs (including the auditing expenses) in discovering the Overcharge and effecting its repayment.
Overcharge. If, as a result of an audit regarding State Street’s charges, it is determined that State Street has overcharged a BTC Recipient, such BTC Recipient will notify State Street of the overcharged amount and State Street will promptly pay to such BTC Recipient such amount, plus interest at the prevailing Federal Funds rate, calculated from the date of State Street’s receipt of the overcharged amount until the date of payment to such BTC Recipient. If any such audit reveals an undercharge to State Street of five percent (5%) or more of the annual service charges for the period audited, the BTC Recipient will notify State Street and pay such undercharge, without interest, within thirty (30) days of discovery of such undercharge. If any such audit reveals an overcharge to a BTC Recipient of five percent (5%) or more of the annual service charges for the period audited, State Street will, at the option of such BTC Recipient, issue to such BTC Recipient a credit (including such interest) against the charges and reimburse such BTC Recipient for the reasonable out-of-pocket expenses of such audit relating to such charges.

If, as a result of an audit regarding Provider’s charges, it is determined that Provider has overcharged a BFA Recipient, such BFA Recipient will notify Provider of the overcharged amount and Provider will promptly pay to such BFA Recipient or BFA, on behalf of such BFA Recipient, such amount plus interest at the prevailing Federal Funds rate, calculated from the date of Provider’s receipt of the overcharged amount until the date of payment to such BFA Recipient or BFA, on behalf of such BFA Recipient. If any such audit reveals an undercharge to Provider of five percent (5%) or more of the annual service charges for the period audited, the BFA Recipient will notify Provider and pay such undercharge, without interest, within thirty (30) days of discovery of such undercharge. If any such audit reveals an overcharge to a BFA Recipient of five percent (5%) or more of the annual service charges for the period audited, Provider will, at the option of such BFA Recipient, issue to such BFA Recipient or BFA, on behalf of such BFA Recipient, a credit (including such interest) against the charges attributable to the overcharge and reimburse such BFA Recipient for the reasonable out-of-pocket expenses of such audit relating to such charges.

Overcharge. This test reproduces an equilibration fault or a charger fault in which the maximum allowable charge voltage threshold is exceeded. The test consists of applying a constant voltage and a constant current between the tabs of the cell to study its electrochemical behaviour. In the ASTRABAT context, the current of overcharge will be defined according to the electrical specification of the cell generation developed. Overcharge. If it is established by the audit, or by any other means, that the DESIGN-BUILDER has over-billed or overstated its costs, fees, or reimbursable expenses (“Overcharge”) to the CITY, then the amount of any Overcharge shall be refunded by the DESIGN-BUILDER, plus interest at twelve percent (12%) simple interest per annum, together with the CITY's reasonable and provable costs (including the auditing expenses) in discovering the Overcharge and effecting its repayment.
Overcharge. If an auditor determines that Supplier overcharged OUTSET with a reasonable description of the overcharge, Supplier shall pay to OUTSET the amount of the overcharge. OUTSET shall pay its own costs of the audit unless the aggregate overcharge exceeds [***] percent ([***]%) of the correct amount owed during such audit period, in which case Supplier shall pay OUTSET’s reasonable and documented costs of the audit.
Overcharge. If an auditor notifies Party−2 that Party−2 overcharged Party−1 with a reasonable description of how the auditor calculated the overcharge, Party−2 agrees to pay Party−1 the amount of the overcharge. Party−1 agrees to pay the costs of the audit unless the overcharge exceeds five percent (5%), in which case Party−2 agrees to pay the costs of the audit.
Overcharge. If a Service is priced above the scheduled amount listed in Exhibit B (Pricing Schedule), County’s Project Manager shall reduce the invoice price to comport with the Pricing Schedule and then approve payment for the Service.
Overcharge. If, as a result of an audit regarding X.X. Xxxxxx’x charges, it is determined that X.X. Xxxxxx has overcharged the Customer, the Customer will notify X.X. Xxxxxx, or X.X. Xxxxxx will notify the Customer, as applicable, of the overcharged amount and X.X. Xxxxxx will promptly pay to the Customer such amount, plus interest at the prevailing Federal Funds rate, calculated from the date of X.X. Xxxxxx’x receipt of the overcharged amount until the date of payment to the Customer. If any such audit reveals an overcharge to the Customer of five percent (5%) or more of the annual service charges for the period audited, X.X. Xxxxxx will, at the option of the Customer, issue to the Customer a credit (including such interest) against the incremental audit charges attributable to the overcharge and reimburse the Customer for the reasonable incremental out-of-pocket expenses of such audit relating to such charges.
